The Organization qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and has been classified as an organization that is not a private foundation under Section 509(a)(1). The tax-exempt purpose of the Organization and the nature in which it operates is described above. Management's assertion is that there are no uncertain tax positions and the Organization continues to operate in compliance with its tax-exempt purpose. The Organization's annual informational and income tax returns filed with the federal and state governments are subject to examination generally three years after they are filed. Mathew DalSanto Partner at Winston & Strawn W & S is counsel with UPLC in two cases, in each we have a co-counsel agreement. Both provide that Winston will pay all expenses, which it will have the right to recover from any fee awarded by the court. Neither calls for any other payments to or from UPLC 0 Sarah Grady Partner at Kaplan & Grady K & G is co-counsel with UPLC on a class action case.
