Form 990, Part VI, Section A, line 1a Executive Committee: There shall be an Executive Committee which shall include the Chairman of the Board, the Vice Chairman, the Executive Director, Chair of the Investment Committee, and Chair of the Development Committee. who shall, to the extent consistent with law, exercise the authority of the Board of Trustees between meetings of the Board of Trustees. The Executive Committee may establish its own rules for holding and conducting meetings which are consistent with law, the Articles of Incorporation and these Bylaws. All actions taken by the Executive Committee shall be reported to the Board at its next regular meeting. The Executive Committee shall not have the power to (i) fill vacancies on the Board of Trustees, (ii) adopt, amend or repeal the Bylaws, or (iii) take any other action that is prohibited by resolution of the Board of Trustees or by applicable law.
