This position has general control of the affairs and business of the Foundation and provides general supervision of its other officers. All other officer appointments must be approved by this position. As the sole member of the Foundation, the Association has the discretion to remove any officers of the Foundation at any time, with or without cause. Additionally, the Executive Director (individual with the highest title of the Association's development team) has a veto right over the election of any elected directors to the board of the Foundation on the basis that such individuals have not demonstrated a sufficiently strong commitment to the mission and support of the Association to warrant their inclusion as directors. Directors may only be removed upon the recommendation and approval of the Executive Director, in addition to a vote of the majority of the board. Three officers of the Association (the Treasurer, CEO, and Chair of the Board) act as non-voting ex-officio directors of the Foundation. As the sole member of the Foundation, the Association has the right to attend all meetings of the Foundation board and to call special meetings of the Foundation board. All potential directors must be reviewed and recommended by the Nominating and Governance Committee. Members of the Nominating and Governance Committee are jointly appointed by the Executive Director and the Board Chair, and only with the approval of the Association. The CEO of the Association (or his or her designee) is an ex officio member of the Nominating and Governance Committee. The Executive Director must also approve any amendments to the Foundation bylaws.
