The Form 990 is reviewed by the Controller and the President/Chief Executive Officer as well as the audit committee. Form 990, Part VI, Section B, line 12c The conflict of interest policy is provided to all employees and all members of the Board of Governors annually. The responses are provided to the general counsel, who reviews all the forms and potential confilcts. Any potential conflicts are presented to the Governance Committee of the Board of Governors for review and possible action. Form 990, Part VI, Section B, line 15 The Board of Governors hires an outside firm to work with them in determining the compensation of the President/Chief Executive Officer. The President/CEO's compensation is discussed and decided upon during Executive session of a meeting of the Board of Governors, and the minutes of those meetings are documented. For other officers or key employees: the President/Chief Executive officer, and the Chief Development Officer deliberate and decide on all other staff salaries. For the salaries of the Cief Development Officer, the President/CEO review comparablility data and presents their salaries to the Board of Governors for deliberation and approval. There is currently an audit for 2024.
