Annually, the compensation committee of the board of trustees of Devereux Corporation (the sole member of the Devereux Foundation) may approve an annual contribution to the participant's account in an amount up to 10% of plan compensation for the year (as defined in the plan document). The participant shall become one hundred percent (100%) vested in his or her benefit under the Plan if while employed by Devereux, he or she (a) attains Normal Retirement Age, (b) dies or (c) becomes disabled. The benefits accrued under this plan are included in Retirement and other deferred compensation amounts in Part II. During the year, Robert C. Dunne, treasurer of ABH Pennsylvania Adult Services, Inc. and senior vice-president and CFO of The Devereux Foundation became 100% vested in this Plan. The amount reported in Schedule J, Part II, Column F relates to previously reported deferred compensation that was paid by the Devereux Foundation during the year and is included as a component of the amount reported in Schedule J, Part II, Column B (iii), Other Reportable Compensation. Part I Line 7 The Devereux Foundation (the sole member of ABH Pennsylvania Adult Services, Inc.) has an incentive plan available to certain officers and other members of management. Annually, the board of trustees of Devereux Corporation determines and approves the incentive amounts for all officers. Incentive amounts are based on the achievement of Organizational and individual goals, which incorporate both qualitative and quantitative elements. For other members of management, incentives are determined by the officers. All compensation reported in Schedule J was paid by The Devereux Foundation, the sole member of ABH Pennsylvania Adult Services, Inc. Form 990 Part I ABH Pennsylvania Adult Services, Inc's mission is to administer the existing activities and services of The Devereux Foundation in the state of Pennsylvania. The purpose of ABH Pennsylvania Adult Services is to support individuals with emotional, behavioral, neurological, and intellectual disabilities, and other functional and nervous disorders. ABH Pennsylvania Adult Services will oversee and administer a comprehensive health care system for individuals with special needs. Following a holistic understanding of treatment, wellness, and care, ABH Pennsylvania Adult Services will offer direct treatment of underlying disorders in the most appropriate setting as well as ongoing education and training for patients, their families, and communities on how to best help affected individuals. Moreover, to ensure broad-based community of care, ABH Pennsylvania Adult Services will engage in efforts to educate the general public on the prevalence, impact, prognosis, and treatment of the developmental and behavioral disorders within its purview. As part of its operations, ABH Pennsylvania Adult Services will adopt Devereux's advanced philosophy of care and the Devereux Advanced Behavioral Health Model of Care. The Devereux Advanced Behavioral Health Model of Care integrates the latest scientific and medical advancements with time-tested philosophies and compassionate family engagement to provide practical, effective and efficient care, making a meaningful difference in the lives of the community of patients served, and the world around them. The sole member of ABH Pennsylvania Adult Services is The Devereux Foundation. ABH Pennsylvania Adult Services had no operations during the tax year. As there were no operating activities for the year, this return was reviewed by the Treasurer and Controller prior to submission to the IRS. Form 990 Part IV ABH Pennsylvania Adult Services' sole member is The Devereux Foundation. The number of directors of ABH Pennsylvania Adult Services shall be three or such greater number as shall be designated from time to time by the sole Member. The directors shall be elected annually by the Member, and each director shall serve until his or her successor is elected and qualified or until his or her earlier death, resignation or removal.
