Form 990, Part VI, Section B, line 12c In connection with any actual or possible conflict of interest, an interested person must disclose the existence of financial interest. The Board of Directors must give an opportunity to disclose all material facts regarding the financial interest considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board members shall decide if a conflict of interest exists. If the board of directors has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall take appropriate disciplinary and corrective action. The board uses comparability data to study compensation then approves Executive Director compensation and records this in the board minutes. A voting member of the board who receives compensation, directly or indirectly, from the organization for services is precluded from voting on matters pertaining to that member's compensation. It is important to the organization that chef program participants have a voice on the board. Board members who participate in the chef program rent the kitchen at the same rate as other participants and do not receive a salary from the organization but do earn income reported on the 1099 for sales of their food.
