A third party valuation firm was engaged to provide an independent valuation of the consideration paid for the acquisition by AIOF of the membership interests and the other assets. The aggregate acquisition price was comprised of cash consideration in the amount of $198,003,800 and deferred purchase price in the amount of $85,685,000 in the form of subordinated bonds. Each of John Halligan, William Magnuson, Eugene Huang, Daniel Moore and Greg Merrill was a direct or indirect partial owner of the LLCs acquired in connection with the Transaction, and the loans identified in lines 1 through 5 above represent (i) the subordinate bonds delivered to those individuals by AIOF as partial consideration for the acquisition of their respective membership interests in those LLCs and (ii) a portion of the cash consideration received by those individuals which was loaned back to AIOF for working capital purposes. None of these individuals were involved in any of the discussions or approvals relating to the Transaction. Radiation Billing Solutions, Inc. (RBS) provides comprehensive management functions to AIOF pursuant to a Master Management Services Agreement dated as of December 27, 2023. A third party valuation firm was engaged to provide an independent valuation of the consideration paid for the management services provided by RBS to AIOF under the Master Management Services Agreement. The management fee is comprised of cash consideration payable monthly and deferred fees in the amount of $15,295,000 in the form of subordinated bonds. Daniel Moore and Greg Merrill are greater than 35% owners of RBS, and the loan identified in line 6 above represents the subordinate bonds delivered to RBS as the deferred portion of the management fee payable to RBS under the Master Management Services Agreement. Neither Daniel Moore nor Greg Merrill was involved in any of the approvals relating to the Master Management Services Agreement. Form 990, Part VI, Line 12c Conflict of Interest Policy Compliance AIOF was formed on April 14, 2022 with a stated purpose of improving the quality of and access to oncology care to residents of Alaska. On December 27, 2023, AIOF acquired four radiation oncology centers located in the State of Alaska, including through the acquisition of membership interests in certain limited liability companies that owned the centers (the "LLCs") or through the direct acquisition of such assets from the owners thereof (the "Transaction"). As noted in AIOF's Form 1023 - "Application for Recognition of Exemption Under Section 501(c)(3) of the Internal Revenue Code," the initial Board of Directors included three individuals who were then part owners of the LLCs. The Form 1023 further noted the AIOF "is working on replacing some of its Board of Directors to reflect a diverse, community-based governing board." As described in the Form 1023, the following five new Board members were recruited and replaced the initial Board of Directors on January 12, 2023: William Popp, President of Anchorage Economic Development Corporation Michele Brown, Senior Fellow at Rasmuson Foundation Donna Galbreath, M.D., Senior Medical Director of Quality Assurance, Southcentral Foundation Greg Merrill, President of Radiation Billing Solutions, Inc. William Magnuson, M.D., Oncologist In accordance with AIOF's conflict of interest policy, Dr. Magnuson (part-owner of certain LLCs) and Mr. Merrill (part owner of the proposed post-Transaction manager of the facilities) were not involved in any of the discussions or approvals relating to the Transaction.
