<Desc>Claiborne Medical Center ("Claiborne") opened in 1959 and serves the Tri-State area. It is located near the Cumberland Gap, in a rural area where health care is a much-needed service, and more than 23.1 percent of the population is below the poverty line. Claiborne became part of Covenant Health in 2014. Claiborne is also one of the largest employers in Claiborne County, with over 300 employees. Located near the state lines of Kentucky and Virginia, Claiborne serves citizens in Bell County, KY; Lee County, VA; and Claiborne and surrounding counties in East Tennessee.SERVICEClaiborne maintains an ambulance service, which enhances area residents' ability to access health care. Claiborne EMS is the primary 911 service for Claiborne County, and a helicopter pad located next to the hospital makes air medical transport services available when needed. The hospital also operates Claiborne Health and Rehabilitation Center, a long-term care facility offering both short-term rehabilitation and residential care for those who can no longer live independently without assistance. Claiborne Health and Rehabilitation Center is currently rated a 4-star facility by the Centers for Medicare and Medicaid Services (CMS). In 2024 the Center was recognized by both Newsweek and U.S. News and World Report as a "Best Nursing Home."In 2024, the hospital provided care for 35,744 patients. Of these, 34,680 were outpatients and 1,064 were inpatients with an average length-of-stay of 3.49 days.PUTTING PATIENTS FIRSTCurrently licensed for 85 beds, the hospital is best known for its surgical services, cardiac rehabilitation, lymphedema program, nursing home, and emergency medical services. Claiborne is certified by The Joint Commission as an Acute Stroke-Ready hospital and is a member of Covenant Health's stroke hospital network, providing rapid diagnosis and treatment of stroke. Claiborne has two full-time general surgeons and one part-time orthopedic surgeon to provide excellent surgical care for patients.Claiborne offers imaging services that include a full-service clinical laboratory, digital mammography, high-definition MRI scans, CT services, echocardiography, and nuclear medicine. The imaging department is accredited by the American College of Radiology in five areas: CT scan, mammography, MRI, nuclear medicine, and ultrasound. Claiborne received both a new CT scanner and new MRI equipment in 2024.Claiborne was recognized in the spring and fall of 2024 with an "A" grade from The Leapfrog Group for patient safety and quality. The hospital was also recognized with the American Heart Association's Get With the Guidelines-Rural Stroke Bronze quality achievement award. The medical center also was recognized by Becker's Healthcare Review in 2024 for Top Hospitals in Nurse Communication, Doctor Communication, and Cleanliness. Recently Claiborne received three Zero Harm awards from the Tennessee Hospital Association for outstanding achievements in patient safety. The awards celebrate hospitals that reached zero healthcare-associated infections in certain areas over the calendar year.IMPROVING THE COMMUNITY'S QUALITY OF LIFE THROUGH BETTER HEALTH Claiborne completed a Community Health Needs Assessment in 2023 and identified four areas as health priorities in the community. As part of the Claiborne Health Council, Claiborne is working to develop projects to improve mental health, substance abuse disorders, diabetes, and obesity in Claiborne County. Teams have been developed for each focus area, and hospital staff are working on the obesity and diabetes teams. In 2024 these teams partnered with other members of the Claiborne County Health Council to provide community health education. One of the hospital's managers served on a community drug coalition led by Live Free, a local nonprofit that provides alcohol and drug addiction and mental health counseling.Claiborne EMS participated in several community events in 2024, including safety days at Midway and Forge Ridge Elementary Schools, training with the North Claiborne County Fire Department, and providing hands-only CPR education at several local events. Hospital staff also provided stroke education and emergency poison control education at the Claiborne County Fair in August 2024.Claiborne partnered with local high schools and colleges to provide expanded opportunities for students interested in pursuing healthcare careers. The hospital partnered with Cumberland Gap High School to encourage healthcare careers by offering hospital tours, job shadowing, and career day presentations. Claiborne also serves as a rotation site for nursing students from Walters State Community College and Lincoln Memorial University, as well as medical students from the LMU DeBusk College of Osteopathic Medicine who are doing rural hospital rotations.Claiborne also focuses on community education, with hospital staff visiting and presenting information to senior adults on a variety of topics, including breast cancer awareness. A senior health fair was held in May 2024, with Claiborne staff providing screenings and stroke education at the event. Hospital staff participated in community resource fairs and back-to-school events at Clairfield Elementary School and the Tazewell Municipal Park. In October 2024, the hospital partnered with the Claiborne County Health Department and hosted a breast cancer survivor's luncheon, providing education and support to local breast cancer survivors and those currently battling the disease. The hospital continues to work with the Claiborne Family Justice Center, and a hospital employee serves on the Justice Center's Coordinated Community Response (CCR) team. Claiborne also hosted Healthcare and Emergency Services Day for the Leadership Claiborne community leadership program.Hospital staff worked with the Claiborne County Healthcare Foundation to raise funds, including coordinating the 24th annual Golf for Great Healthcare tournament. Funds from the tournament were used to purchase furniture for the hospital's outpatient lobby and emergency department.Claiborne staff also participated in child-related activities, including having a hospital manager participate in the Pre-K Advisory Council for the Claiborne school system. Both the Chief Administrative Officer and the manager were members of the Wilderness Road Kiwanis, with the manager participating in reading events at Springdale and Midway elementary schools.</Desc>

<ExplanationTxt>Part V, Section B, Line 5: Claiborne Medical Center ("Claiborne") conducted its fourth Community Health Needs Assessment ("CHNA") in 2023. A Steering Committee was formed to guide the assessment process and included the Claiborne County Health Department, Claiborne Medical Center, the Claiborne County Health Council, Claiborne Board of Education, Servolution Clinic, Live Free Claiborne, and the Tennessee Extension Service. Each of these community organizations serve the broader community and, in particular, the low-income, uninsured, and chronically ill. The Steering Committee worked with the University of Tennessee-Knoxville Social Work Office of Research and Public Service ("UT-SWORPS") to devise a Claiborne County household survey and to host four focus groups of community leaders, each participant represented a part of the overall Claiborne County public health system. The household survey collected information from 340 Claiborne County residents. Participation in the survey was diverse and reflected the demographic profile of the county for the attributes of educational level, income, ethnicity and age. The primary research was analyzed and combined with county demographics, mortality, and secondary data for more than 60 health indicators. A Data Team was formed to begin the analysis of the data and determine the most significant findings from the assessment. The Data Team included members of the Steering Committee as well as representatives from the Claiborne County Family Justice Center and Stand in the Gap Coalition.</ExplanationTxt>

<ExplanationTxt>Part V, Section B, Line 11: For 2023, the Steering Committee elected to use the same secondary health indicators that were used in the 2020 assessment. The indicators were updated to include the most current data points available. Additionally, COVID-19 statistics were included that did not exist in 2020. Updated demographics, leading causes of death, community survey results, focus group analysis and secondary data for dozens of health indicators was used by the Data Team to determine the most significant health priorities for the 2023 health assessment cycle. The Data Team used a methodology to determine whether the 2020 CHNA significant issues should be continuted, modified or replaced. New issues that may have emerged since the 2020 CHNA also were discussed for potential inclusion. Largely due to COVID-19, the Data Team consensus was to continue the four health priorities of the 2020 CHNA. Data team members felt each priority area of the 2020 assessment had worsened. Communities were faced with increased uncertainty and stress, many community resources were paused and healthcare organizations were pushed to the breaking point. Overall, the demand for health and human resources far outweighed the supply. The 2023 most significant health priorties for Claiborne County are Substance Abuse Disorders, Mental Health Access, Diabetes and Obesity. Claiborne adopted the 2024-2026 Implementation Plan and is focusing its resources on the following:1. Substance Abuse DisorderPeninsula Drug Treatment Program: - Claiborne can now refer patients to the Peninsula Medication Assistance Treatment program's Center for Outpatient Services for Substance Abuse. This program offers specialized medications and intensive therapy to treat substance abuse disorders. Community Drug Coalitions: - Claiborne will continue to support our multi-disciplinary coalitions to address substance abuse issues in Claiborne County. These coalitions include Stand in the Gap, the Claiborne Community Coalition, and the Claiborne County Opioid Board.Opioid Light Program: - Claiborne's Emergency Department is participating in a Covenant Health system-wide initiative to curb the use of hospital-prescribed opioids. Physicians are prescribing non-opioid drugs when indicated for pain management, both during treatment and upon discharge from the hospital. - Claiborne works in conjunction with other community resources, including the McNabb Center and the Claiborne County Opioid Board to address opioid issues. 2. Mental HealthBehavioral Health Services Expansion: - Psychiatric consult services are now being provided for patients in the Emergency Department and for inpatients at Claiborne via tele-video through Peninsula Behavioral Health. - Claiborne's patients can be referred to Cherokee Health Systems which is located 4.4 miles away from the hospital, or to the McNabb Center Mobile Health Clinic, which serves Claiborne County. - Covenant Health is using Foundation funding to offer supportive psychiatric social services to patients in the system's hospital Emergency Departments. This project began in the second quarter of 2021.3. DiabetesFree Community Education Classes/Workshops: - Claiborne will provide at least two "Lunch and Learn" community education programs yearly on diabetes and other healthy living topics. - Claiborne provides chronic disease education (e.g., diabetes) in conjunction with the Claiborne County Health Council and its partners. This includes programs such as "Take Charge of Your Diabetes and "Reversing Diabetes."Sponsor and Participate in Community Health Fairs: - Claiborne will sponsor and participate in community health fairs to provide low- or no-cost access to screenings (including blood sugar screenings) for a variety of audiences, including senior citizens and the local labor force.4. ObesityCovenant Kids Run: - Each year, as part of the Covenant Health Knoxville Marathon, children in kindergarten through 8th grades participate in the Covenant Kids Run. Participants work on completing 26.2 miles of activity with the final mile taking place on race day of the marathon. The intent of the program is to get youth to engage in physical activity and develop healthy habits. Claiborne and Covenant Health's marketing department will coordinate with the Claiborne County Schools to encourage participation.Promote Healthy Activities: - Continue partnership with the Claiborne Health Council and its members to promote healthy activities for students and families such as the Annual Race for School Health, Walk Across Tennessee and other activities. - Claiborne will sponsor a Spring community walking program in partnership with the Claiborne County Health Council and Change Claiborne.</ExplanationTxt>

<ExplanationTxt>Claiborne utilizes a look-back method to determine amounts generally billed ("AGB") to establish the maximum amount that will be charged to individuals eligible under the financial assistance policy ("FAP") for emergency or other medically necessary care. Self-pay patients of Claiborne automatically receive a 72% discount on charges based on the facility's calculated AGB. Federal poverty guidelines are utilized in the determination of charity care eligibility. Patients who are unable to pay and have exhausted all sources of payment assistance may qualify for charity care. A sliding scale is used for extending charity care utilizing the income levels reported under the federal poverty guidelines. Patients/guarantors with income that falls below 200% of the federal poverty guidelines receive 100% charity care. Patients/guarantors with income of 201-300% of the federal poverty guidelines receive 90% charity care. For catastrophic illness, exceptions to income and asset limitations may be made on a case-by-case basis. The amount considered for charity will be based upon the evaluation of the patient's/guarantor's ability to pay.Claiborne makes reasonable efforts to determine a patient's eligibility under the facility FAP. All collection activity will be halted if a charity application is received and will remain on hold until a determination is made by Claiborne and communicated in writing to the responsible party. If the charity application is approved, all collection activities taken will be reversed and any amounts paid above the amount required will be refunded. Patients/guarantors who qualify for partial financial assistance are responsible for paying any balance remaining after the charity adjustment and third party payments. Claiborne will not engage in extraordinary collection actions ("ECA") before it makes reasonable efforts to determine whether an individual who has an unpaid bill is eligible for financial assistance. Reasonable efforts to determine whether the individual who has an unpaid bill is eligible for financial assistance include notification to the individual of the FAP, contacting individuals who have submitted incomplete financial assistance applications regarding how to complete the application and allowing a reasonable time period to do so, and reviewing completed applications for financial assistance eligibility.Claiborne does not sell any accounts receivable accounts to outside firms. All accounts remain property of and under the policies set by Claiborne. <ExplanationTxt>Board members, officers and employees are required to adhere to rules and policies regarding conflicts of interest. Covenant Health makes available a board-approved Code of Conduct to all employees. The Code covers among other subjects, conflicts of interest, and requires disclosure and resolution of employee conflicts of interest. Additionally, officers, employed physicians, and highly compensated employees are required to complete and sign an annual conflict of interest disclosure statement. Board members' conflicts of interests are addressed in the corporate bylaws, and board members are required to complete and sign a conflict of interest questionnaire on an annual basis. The Integrity-Compliance Office maintains records that contain conflict of interest information obtained from board members, officers and employees. These records are available to be queried prior to engaging in business transactions. The Chief Compliance Officer reviews conflict of interest data. Based on this information, the officer determines what conflicts of interest exist at that point in time. Between times when surveys are collected, board members are expected to disclose any new conflicts that have arisen that affect pending board decisions. Officers and other employees are expected to report conflicts to the Chief Compliance Officer as they arise. Depending on the nature of the conflict and the circumstances surrounding the conflict and transaction, the Chief Compliance Officer, senior leadership, or the board of directors may review the conflict of interest. When appropriate these parties may also consult legal counsel. Restrictions imposed on persons with a conflict of interest are determined on a case by case basis. For Covenant Health employees, the Chief Compliance Officer, in conjunction with the Covenant Health Executive Leadership Team determines how to appropriately manage the conflict. In any conflict involving a board member, such member is expected to recuse himself or herself from voting on matters related to the conflict.</ExplanationTxt>

Form 990, Part VI, Section B, Line 15b: Base salary and annual bonus opportunities for Gordon Lintz, President and Chief Administrative Officer, are set by the Covenant Health CEO in consultation with appropriate Executive Vice Presidents and the Senior Vice President-Human Resources, after review by and discussion with the executive compensation consultant ("the Consultant") to ensure that total compensation is reasonable and within a fair market value range. Salary ranges are based upon the recommendations of the Consultant made after comparison with similar jobs in similar size health systems across the nation. Bonuses are recommended by the CEO and reviewed with the Committee conditioned upon receipt of a written opinion from the Consultant that total compensation for the executive is reasonable and consistent with fair market value. Base salary for the CAO is initially targeted at the 25th percentile and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-35% of base salary based upon system performance and accomplishment of certain targets established by the CEO. Base salaries and annual bonus opportunities for other officers and key employees are based on targets established by historical compensation consultant data and the Covenant Health Compensation department. Salary ranges are based upon comparison with similar jobs in similar size health systems across the nation. Base salaries and bonuses are approved by Executive Leadership predicated upon performance, and are reasonable and consistent with fair market value. Base salaries are intially targeted at midpoint and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-20% of base salary based upon system performance and accomplishment of certain targets established by Executive Leadership.</ExplanationTxt>
