Part VI, Section B, Line 12c Annually directors and key employees review the policy together. Each completes and signs a certification and disclosure form. These forms are compiled and stored. All new directors and key employees review and sign the certification within the first month of start date. All are responsible for monitoring proposed and ongoing transactions. The Board President and alternate are responsible for having the Board do a conflict of interest check prior to making decisions regarding transactions. This involves a checklist and a set of questions to determine if there is a conflict. We have a separate policy and procedure regarding conflicts after a transaction has occurred.
