Form 990, Part VI, Section A, Line 6 VICC is organized as 501(c)(3) nonprofit corporation governed by a Board of Directors consisting of one representative (the superintendent or designee) from each participating public school district (member), which for 2024/25 was the 13 public school districts listed in Schedule I, Part II, Question 1(a). Form 990, Part VI, Section A, Line 7a The Board of Directors is the governing body of VICC. Since the Board consists of a representative from each participating district (member), the Board's decisions/actions are not subject to approval by any other persons or organizations. Pursuant to VICC's By-Laws, each representative has a proportional vote based on the number of desegregation/transfer students it enrolls. A Board President, Vice-President and Treasurer are elected by the Board from among its members each year. A copy of the Form 990 is also sent to VICC's legal counsel and to VICC's independent auditing firm for review prior to filing with the IRS. Form 990, Part VI, Section B, Line 15 Compensation for the VICC CEO, officers and key employees is voted upon annually by the full VICC Board of Directors. In determining the appropriate level of compensation, data for comparable positions is used as reference points, with a general goal of maintaining salaries at around the midpoint of such ranges applicable to the position. Board action is documented in the meeting minutes. Form 990, Part VI, Section C, Line 19 VICC's By-Laws and formal Board policies specify that its meetings are to be conducted in accordance with the Missouri Open Meeting Laws (Sunshine Law). All regular meetings are therefore posted in advance and are open to members of the public. Area newspapers, television and radio media are also sent meeting notices and agendas in advance. Monthly financial statements are included in open meeting materials and are available to the public upon request or during regular business hours from 9:00 a.m. to 2:00 p.m. weekdays at the VICC organization office. Governing documents, including formal Board policies are available to the public free of charge.
