Form 990, Part VI, Section B, Line 12c Conflict of Interest Statement for Board Members:General Principles1.Each ELCFH Board member must place the interest of the ELCFH foremost in any dealings impacting the ELCFH.2.Each Board member shall disclose to the ELCFH any personal interest that he or she may have in any matter pending before the ELCFH Board, or any matter that may affect the welfare of the ELCFH organization, and shall refrain from participation in any decision on such matter. A conflicted board member may not be counted in determining a quorum for the meeting in connection with the conflicted matter.3.No Board member shall derive any personal profit or gain for themselves, their relatives or friends, directly or indirectly, by reason of his or her participation with the ELCFH except as otherwise agreed to by three quarters of the voting members of the Board.4.Each year, ELCFH Board members will submit an annual statement, agreeing to these General Principles and disclosing any potential conflicts. At that time, compensation is reviewed (not to exceed a 5% increase as stated in ELCFH employee policy) and the Executive Director contract is reviewed for the upcoming year. The Executive Director salary is compared to other like position salaries every three years. b.All ELCFH employees are reviewed annually using the approved ELCFH Employee Performance Review tool. Increases are determined based on the average score from the completed tool (not to exceed 5%). A comparison study of salaries is completed every three years to ensure equity of salary. Form 990, Part VI, Section C, Line 19 Governing documents, policies and financial statements are available on the Early Learning Coalition's website. Form 990, Part XII, Line 3b THE REQUIRED AUDITS ARE CURRENTLY BEING CONDUCTED AS OF THE FILING DATE. THIS TAX RETURN WILL BE AMENDED AS SOON AS THE REQUIRED AUDITS ARE COMPLETED.
