Audubon Nature Institute Foundation ("ANIF") is the supporting organization for ANI. ANIF donated funds for the direct benefit of the facilities owned by the Audubon Commission and managed by ANI. Section B, line 1 Audubon Nature Institute Foundation's ("ANIF") articles of incorporation state that its purpose is to raise funds in support of the facilities, programs and other activities managed by the Audubon Nature Institute. Audubon Nature Institute ("ANI") is a non-profit incorporated for educational purposes. Audubon Commission is an independent agency of the City of New Orleans that owns the Audubon Facilities. Audubon Nature Institute has a management contract with the Audubon Commission to operate and manage the Audubon Facilities. These facilities include but are not limited to Audubon Park, Audubon Zoo, Aquarium of the Americas, Woldenberg Riverfront Park, Freeport McMoRan Audubon Species Survival Center, Audubon Louisiana Nature Center, Audubon Wilderness Park and Audubon Butterfly Garden & Insectarium. The board members for ANIF are selected mainly from board members of Audubon Nature Institute and Audubon Commission. In 2023, the 9 members of the board for ANIF were made up of 7 members from the ANI board and 2 former members of the Audubon Commission board. By-laws of ANIF state that the Chairman of the Audubon Nature Institute board serves as a member of the Foundation board during his/her tenure. The remaining board elects its new members on a rotating basis. In practice the ANIF board has mainly been comprised of current and former ANI and Audubon Commission board members. In regards to officers of the organizations, Ron Forman is the President/CEO for both the Audubon Nature Institute and Audubon Nature Institute Foundation. Laurie Conkerton is the Executive Vice President and Chief Administrative Officer for Audubon Nature Institute and the Secretary/Treasurer for Audubon Nature Institute Foundation. Through the board representation from ANI and Audubon Commission board members on the ANIF board, the supported organization is able to operate and supervise ANIF. Also, the staffing of ANI and ANIF, which both use Ron Forman and Laurie Conkerton as officers, contributes to the operation and supervision of ANIF by ANI. Part X, Line 2: The Foundation is exempt from income tax under Section 501(c)(3) of the United States Internal Revenue Code. In addition, the Foundation qualifies for the charitable contribution deduction under Section 170(b)(1)(a)(vi) and has been classified as an organization other than a private foundation under Section 509(a)(3). Accounting principles generally accepted in the United States of America provide accounting and disclosure guidance about positions taken by an entity in its tax returns that might be uncertain. The Foundation believes that it has taken appropriate support for any tax positions taken, and management has determined that there are no uncertain tax positions that are material to the financial statements. Penalties and interest assessed by income taxing authorities, if any, would be included in income tax expense. The plan was developed in 2004 as a best-practices strategy to retain seasoned professionals in senior leadership positions. During 2023, Ron Forman received a contribution of $139,081 to his 457f retirement plan from Audubon Nature Institute, Inc. Form 990, Part VI, Section A, line 7a Audubon Nature Institute Foundation is organized on a non-stock basis. This corporation shall have no members; however, the directors of this corporation shall for all intents and purposes, be deemed its members and shall exercise all of the rights and powers of members. The board of directors shall elect its members by a majority vote of the remaining directors. Once the return has been reviewed by the accounting firm, it is provided to the board of directors for review, with the exception of the donors' names and addresses on Schedule B, and then the return is filed with the IRS. Form 990, Part VI, Section B, line 12c Audubon Nature Institute Foundation has a conflict of interest policy that has procedures in place to handle disclosing conflicts, determining whether a conflict exists, addressing the conflict, and violations of the policy. Annual statements are signed regarding the policy and periodic reviews are conducted to ensure the policy is being followed.
