Income on the fund shall be used to aid and support the work of Bashor Home. It may be used for annual operating expenses, program, building construction or maintenance, or purchase of property. When it is deemed necessary or prudent to invade and use any part of the corpus of the Fund, the Board of Directors shall decide on the amount to be used. Such decision shall require a 2/3 vote of Board Members present at each of two successive full board meetings; at least one of the two must be a regularly scheduled Board Meeting; the other may be a regularly scheduled meeting or a properly constituted called meeting; with a period of at least 30 days separating the dates of the two such Board meetings. Note: Funds on deposit in certain Foundations, such as the Elkhart County Community Foundation and others, are the property of that Foundation, and will never be available to be withdrawn. Part X, Line 2: The Organization is incorporated as a not-for-profit organization under the laws of the State of Indiana, and is exempt from federal and state income taxes pursuant to provisions of Section 501(c)(3) of the Internal Revenue Code. If a conflict of interest arises, a disinterested person or committee is appointed to investigate alternatives to the proposed transaction or arrangement. They shall determine whether Bashor can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If this is not reasonably attainable, they shall determine by a majority vote of the disinterested directors or committee members whether the transaction or arrangement is in Bashor's best interest and for its own benefit and whether the transaction is fair and reasonable to Bashor and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. The forms are returned to the board for formal review. Considerations include the President/CEO's years of service, as well as comparative market data.
