Non-discretionary performance incentives are reviewed and set annually. The initial base salary for the CEO and President went through a reasonable analysis from an independent compensation consultant which is adequate for a Section 4958 (rebuttable presumption of reasonableness) resolution. The independent consultant uses published compensation reports and compares the salaries of the CEOs and Presidents of similar sized organizations to identify a reasonable band within which compensation must fall. The salary of the CEO and President was then reviewed and approved by the compensation committee. This independent analysis is reviewed every three years. All other salaries are benchmarked against other comparable salaries.
