The Chamber is tax exempt for most of its operations; however, it is liable for income tax on Unrelated Business Income which it generates from certain consulting, legal and other services. In prior years, the Chamber generated significant losses from this business thereby creating net operating loss carryforwards ("NOL's") that will be utilized to offset any net income generated by these services. As of December 31, 2024 and 2023, the Chamber had NOL's totaling approximately $1,316,000 and $1,407,000, respectively. Because of the uncertainty of the realization of the NOL carryforwards, the Chamber recorded the associated deferred tax assets related to the NOL's, which was offset in full by a valuation allowance as of December 31, 2023. During the year ended December 31, 2024, the Chamber determined that the consulting business was generating significant taxable profits, therefore, and the utilization of the deferred tax asset was determined to be more likely than not (more than 50% probable) in 2024 and future periods and the valuation allowance related to this consulting business NOL was removed. The Chamber recorded a deferred tax asset in the accompanying consolidated statements of financial position and a deferred tax benefit in the consolidated statements of activities as of December 31, 2024, offset partially by a valuation allowance for those segments of the business that continue to generate losses. Trade Show Services is a for-profit entity and is subject to federal, state and local income taxes. The Chamber recorded $12,529 and $(10,613) tax provision (benefit) for the years ended December 31, 2024 and 2023, respectively.
