These unforeseen transitions left us without authorized signatories or completed audit workpapers to file either Form 990 or the automatic-extension Form 8868 despite ordinary business care and prudence. The return was transmitted at the earliest practicable moment once staffing stabilized and the new auditors finished their procedures. We have since adopted a written transition protocol, added redundant e-services authority, migrated records to secure cloud storage, and advanced internal deadlines to prevent recurrence. Because the delay resulted from circumstances beyond our control and was promptly corrected, we respectfully request abatement of all late-filing penalties under the reasonable-cause provisions of the law.
