Line 6b Parrish Charter Academy, Inc. has not had its right to aid ever been revoked or suspended. Pt VI, Line 3 The School maintains a management agreement with Forza Education Management LLC. (FORZA), a Florida limited liability company, to facilitate the continuation of the Academy by performing certain functions relating to the provision of educational services; the management and operation of the Academy in accordance with enrollment, age and grade level specifications for the Academy. This Agreement is renewable or cancellable on June 30 of each year. The Agreement also may be terminated with cause by either party upon a sixty-day notice of material breach, as defined in the contract. Pt VI, Line 7a Election of Members and Responsibilities. Article III, Section 4 of Bylaws. Board members shall be elected for three-year terms, except as necessary to establish staggered terms in the Corporations first fiscal year operating as a charter school. Beginning in the first fiscal year the Corporation operates as a charter school, the initial Board members shall establish Board Classes by resolution to provide for Board terms to be staggered so that no more than approximately 1/3 of the Board shall be up for election in any year, unless a vacancy or vacancies need to be filled. The starting date and length of the terms of the initial Board members shall be as set forth in the Board Classes resolution. Pt VI, Line 7b Governance decisions. Members are charged with approval of charitable gifts, transfers, distributions and grants by the Corporation to other entities; adoption of an amendment to the Articles of Incorporation or to the Bylaws; organization of a subsidiary or affiliate by the Corporation; approval of any merger, consolidation or sale or transfer of all or a substantial part of the assets of the Corporation. Pt VI, Line 11b A draft copy of Form 990 is provided to the administration and the Board of Directors for their review. The Board President is then required to sign the approved Form 990 electronic filing authorization, Form 8879-EO. Pt VI, Line 15a Compensation Process for top management official.
