<Desc>IN THE MOST RECENT FISCAL YEAR (FY 2025), RML SPECIALTY HOSPITAL DELIVERED ON ITS MISSION TO PROVIDE QUALITY, COMPASSIONATE CARE TO PATIENTS FROM OUR REFERRING COMMUNITY WHO SUFFER FROM PROLONGED, SEVERE ILLNESS. OUR CARE PROGRAMS INCLUDED THE CARE AND WEANING OF PATIENTS WHO REQUIRE PROLONGED MECHANICAL VENTILATION, THE CARE AND TREATMENT OF PATIENTS WITH COMPLEX WOUNDS, AND THE MANAGEMENT OF PATIENTS REQUIRING EXTENDED ACUTE HOSPITALIZATION. RML IS RECOGNIZED NATIONALLY AS A LEADER IN LONG-TERM ACUTE CARE AND IS ONE OF THE LARGEST VENTILATOR-WEANING HOSPITALS IN THE NATION. RML SERVED APPROXIMATELY 90 REFERRAL SOURCES THROUGHOUT ILLINOIS, INCLUDING PARTNER ORGANIZATIONS, MAJOR TERTIARY CARE CENTERS, AND COMMUNITY HOSPITALS. NEARLY 90% PERCENT OF INPATIENT ADMISSIONS WERE DIRECT TRANSFERS FROM THESE HOSPITAL REFERRAL SOURCES. RML OPERATES A FACILITY LOCATED IN A LOW-INCOME AREA OF CHICAGO AND, DESPITE FLUCTUATIONS IN CENSUS, CONTINUES TO SUSTAIN THE VIABILITY OF AN ENTITY THAT PROVIDES QUALITY HEALTH CARE AND WELL-PAYING JOBS FOR THE INNER-CITY COMMUNITY. LONG-TERM ACUTE CARE WAS PROVIDED TO MORE THAN 1,038 PATIENTS ACROSS BOTH RML FACILITIES, INCLUDING OVER 354-PRIMARILY MINORITY-PATIENTS AT THE CHICAGO LOCATION. TO SUPPORT THE SPECIALIZED NEEDS OF OUR PATIENTS AND COMMUNITY, RML UTILIZES A PHYSICIAN-LED INTERDISCIPLINARY TEAM TO DELIVER COMPREHENSIVE TREATMENT FOR ACUTE OR CATASTROPHIC ILLNESS COMPLICATED BY MULTIPLE CO-MORBIDITIES. OUR COMMITMENT TO EXCELLENCE AND SUPERIOR CLINICAL OUTCOMES HAS ALLOWED US TO MAINTAIN LOW HOSPITAL-ACQUIRED INFECTION AND PRESSURE-ULCER RATES AND A LOW RATE OF ADVERSE OUTCOMES, DEFINED AS EXPIRATIONS AND TRANSFERS TO ACUTE-CARE HOSPITALS.</Desc>

<ExplanationTxt>RML is a not-for-profit limited partnership and has been recognized as a tax-exempt organization by the Internal Revenue Service pursuant to Section 501(c)(3) of the Code. Income earned in furtherance of RML's tax-exempt purpose is exempt from federal and state income taxes. The Code provides for taxation of unrelated business income; however, such status is subject to final determination upon examination of the related income tax returns by the appropriate taxing authority. U.S. GAAP prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not to be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management is not aware of any tax benefits or liabilities to be recognized May 31, 2025, and 2024. The Partnership does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. Due to its tax-exempt status, the Partnership is not subject to U.S. federal income tax or state income tax. The Partnership recognizes interest and/or penalties related to income tax matters in income tax expense. The Partnership did not have any amounts accrued for interest and penalties at May 31, 2025 or 2024. Tax returns filed by the Partnership are no longer subject to examination for the years ended May 31, 2020 and prior.</ExplanationTxt>

<ExplanationTxt>Facility A, 1 - FACILITY REPORTING GROUP A. RML Specialty Hospital conducted its 2025 Community Health Needs Assessment (CHNA) in collaboration with Crowe LLP. The CHNA was conducted from February through May 2025 for both RML's Chicago and Hinsdale campuses. Input was obtained through in-person and electronic surveys of discharged patients, outreach to community organizations, and a key stakeholder survey conducted March 5-31, 2025, which included 27 participants representing patients, caregivers, healthcare providers, and community partners serving chronically ill populations in Chicago, Suburban Cook, DuPage, and Will Counties. Input represented the interests of low-income, minority, and medically underserved populations, including low-income individuals and families; minorities and communities of color; Medicaid and Medicare Advantage plan holders; seniors and elderly individuals; Spanish-speaking communities; and uninsured and underinsured individuals. Secondary data from the U.S. Census Bureau, the Centers for Medicare & Medicaid Services, and the Illinois Department of Public Health were analyzed to validate and prioritize community health needs. Written comments were invited through RML's public CHNA contact.</ExplanationTxt>

IN ADDITION TO THE TRIENNIAL CHNA, RML EVALUATES COMMUNITY NEEDS THROUGH ONGOING COLLABORATION WITH REFERRING HOSPITALS, DISCHARGE PARTNERS, AND POST-ACUTE PROVIDERS. THE PATIENT FINANCIAL SERVICES, INTAKE, AND CARE COORDINATION TEAMS COLLECT DATA FROM ADMISSION, SOCIAL ASSESSMENTS, AND DISCHARGE FOLLOW-UP CALLS TO IDENTIFY BARRIERS TO CARE, UNMET SOCIAL NEEDS, AND OPPORTUNITIES FOR IMPROVEMENT. THIS INFORMATION IS REVIEWED BY LEADERSHIP AND INCORPORATED INTO HOSPITAL INITIATIVES SUCH AS HEALTH EQUITY, STAFF EDUCATION, AND CAREGIVER SUPPORT PROGRAMS. MANY PATIENTS TRANSFER DIRECTLY FROM INTENSIVE CARE OR STEP-DOWN UNITS AT REFERRING HOSPITALS TO CONTINUE RECEIVING AN ACUTE LEVEL OF CARE IN A SETTING THAT PROVIDES THE ADDITIONAL TIME, EXPERTISE, AND INTERDISCIPLINARY SUPPORT NECESSARY FOR RECOVERY. RML'S CARE MODEL IS DESIGNED TO STABILIZE PATIENTS WITH MULTIPLE COMORBIDITIES, PROMOTE RECOVERY AND VENTILATOR LIBERATION WHEN POSSIBLE, AND PREPARE PATIENTS FOR THE SAFEST AND MOST APPROPRIATE NEXT LEVEL OF CARE. IN FY 2025, RML CARED FOR MORE THAN 1,000 PATIENTS BETWEEN ITS CHICAGO AND HINSDALE CAMPUSES. MORE THAN 350 PATIENTS RECEIVED CARE AT THE CHICAGO FACILITY, WHICH IS LOCATED IN A MEDICALLY UNDERSERVED, LOW-INCOME AREA, ENSURING ACCESS TO SPECIALIZED LONG-TERM ACUTE CARE FOR VULNERABLE POPULATIONS. THE AVERAGE AGE OF AN RML PATIENT IN FY 2025 WAS 59 YEARS, WITH AN AVERAGE LENGTH OF STAY OF 41.68 DAYS. APPROXIMATELY 30 PERCENT OF PATIENTS WERE COVERED BY MEDICAID, AND MORE THAN 80 PERCENT OF RML'S TOTAL REVENUE WAS DERIVED FROM MEDICARE AND MEDICAID PAYORS. RML'S COMMUNITY REFLECTS A DIVERSE MIX OF RACIAL AND SOCIOECONOMIC GROUPS, MANY OF WHOM FACE BARRIERS RELATED TO CHRONIC ILLNESS, FINANCIAL HARDSHIP, AND LIMITED ACCESS TO POST-ACUTE CARE. THROUGH ITS MISSION AND PROGRAMS, RML WORKS TO ENSURE EQUITABLE ACCESS TO COMPASSIONATE, HIGH-QUALITY CARE FOR ALL PATIENTS AND FAMILIES IT SERVES.</ExplanationTxt>

Therefore, the Board annually takes action to provide the excess as cash to the CEO, grossed up to simulate receiving it as deferred compensation.</ExplanationTxt>

<ExplanationTxt>RML follows the requirements set forth in the IRS rebuttable presumption of reasonableness in determining compensation for the CEO. This function is performed by the governing board. CEO compensation is reviewed annually, with an external compensation consultant engaged to perform a detailed compensation study every other year. In the years during which the external compensation consultant is not engaged to perform a detailed compensation study, RML performs an analysis of CEO compensation internally. In addition to utilizing the most recent study performed by the external compensation consultant, this internal CEO compensation evaluation includes a review of comparability data, during which market data and compensation data of healthcare executives at similar organizations is reviewed and utilized in determining CEO compensation. The deliberation and decision of CEO compensation is contemporaneously documented through detailed minutes of the compensation committee and full board meetings where executive compensation is considered. The most recent total compensation bi-annual study performed by the external compensation consultant occurred in November 2022, and the most recent internal base compensation review was performed in June 2024. We are currently working on an updated total compensation study with Willis Towers Watson.</ExplanationTxt>
