Part IV, Section A, Line 2: Organizations listed in Part I do not have determination letters from the IRS. The Organizations fall under the tax exemption of the U.S. Conference of Catholic Bishops (USCCB) and appear in the OCD (Official Catholic Directory). The Organizations have the USCCB Group Ruling Letter and are listed in the OCD and as such are considered tax exempt under IRC Section 501(c)(3). The Ministry is organized as a canonical public jurdic person and is an integral part of the Roman Catholic Church. Part IV, Section B, Line 1: The Organization is directly controlled by SMP Health System and indirectly operated, supervised and controlled by the Ministry. The Organization is directly controlled by SMP Health System as the sole member in that SMP Health System is vested with significant reserve powers under Bylaws Article II, Section 3, including the power to elect and remove the Board of Directors of the Organization. SMP Health System is a Section 509(a)(3) supporting organization controlled by the Ministry. The Ministry may elect, appoint or remove the Governing Board and Officers of SMP Health System and therefore, the Governing Board and Officers of the Organization may be elected, appointed or removed by the Ministry under Bylaws, Article II, Section III. Accordingly, the Organization is indirectly controlled by the Ministry.
