Form 990, Part VI, Section A, line 6 The council has three classes of members which include state association, individual, and corporate. State membership is limited to one statewide organization from each respective state, the membership of which best represents volunteer firefighters, emergency medical or rescue personnel as determined by the council. The board of directors may from time to time create or eliminate other classes of members which shall represent various aspects of the fire and emergency services on both a domestic and international level. Such members may attend meetings of the council but are not entitled to attend closed sessions of the board of directors, nor have voting rights. Form 990, Part VI, Section A, line 7a Each member state is entitled to vote on each matter submitted to a vote in any business of the council. Such votes are made by two directors from each state with each director having one vote. Form 990, Part VI, Section B, line 11b The council hired an independent accounting firm to prepare the federal form 990. Upon submission of the draft, it is internally reviewed by the chief executive officer and the deputy chief executive. Once approved, a draft copy of the federal form 990 is distributed to the governing body before filing with the internal revenue service. Form 990, Part VI, Section B, line 12c On an annual basis, all board and staff members are provided with a copy of the conflict of interest policy and are required to complete and sign the acknowledgment and disclosure form. The disinterested members of the council's executive committee make the determination as to whether a conflict exists and what subsequent action is appropriate (if any). The interested board or staff member(s) are recused from participating in debates and voting on the matter. The council's executive committee informs the board of directors of such determination and action. The board of directors retains the right to modify or reverse such determination and action, and shall retain the ultimate enforcement authority with respect to the interpretation and application of the policy. Form 990, Part VI, Section B, line 15a The council maintains a compensation program reflective of its mission and values. The total compensation program offered includes wage/salary, incentive pay opportunities as applicable, and a wide range of benefits. The council considers the competitive market place, the relative value of each position to the council, individual performance, qualifications, and experience when compensating employees. The compensation program is designed to enable the council to successfully attract, develop, retain, and reward employees for their knowledge and contributions. Compensation ranges and benefits will be assessed based on comparison to associations having the following similar attributes to the council: - membership type (professional association) - membership size - budget size - staff size - geographic scope (comparable to the Washington, DC area) The annual review/compensation process: The chief executive officer, in consultation with the deputy chief executive, will determine compensation for staff based on the board-approved budget and comparable salary data for like-organizations. The compensation recommendations may include performance reviews, job descriptions, and other pertinent information. These recommendations are built into the budget approved at the NVFC's fall meeting. Annual salary increases are effective October 1. The council's executive committee reviews and approves the chief executive officer and uses the same comparable data for management level positions as mentioned above. All discussions are documented via meeting minutes.
