Two (2) directors shall be persons who are or have been eligible clients of TLSC. These persons shall have demonstrated interest in legal services to the poor Pt VI, Line 11b The Executive Director and the CFO will review the Form 990. Once competed, finalized and filed, the Executive Director will present the Form 990 at the next scheduled board audit committee meeting. The Form 990 will then be reviewed by the board audit committee and will recommend submittal to the full board at the next scheduled board meeting. The full TLSC board meets on a quarterly basis. Pt VI, Line 12c All directors shall avoid actual or possible conflicts of interest and shall disclose to the board any possible conflict of interest upon learning of the conflict. No director shall participate in the discussion of or vote on any matter, at any board or committee meeting, in which the director has a conflict of interest. The minutes of such a meeting shall reflect that the director disclosed a conflict of interest and that the director did not participate or vote on the matter. Any director who is uncertain whether a conflict of interest exists in any matter may request the board or committee to resolve the question by majority vote. All directors shall sign an annual form acknowledging and agreeing to abide by this policy and disclosing any known conflicts of interest Pt VI, Line 15a Salaries are determined by the board of directors following a review of salaries of other comparable legal aid organizations and review of comparable salaries in the public sector Pt VI, Line 18 Form 990 is available upon written request.
