The Organization recognizes the tax benefits from uncertain tax positions only if it is more-likely-than-not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. The Organizations income tax filings are subject to audit by various taxing authorities. Management continually evaluates tax positions reflected in the Organizations tax filings and does not believe any material uncertain tax positions exist. Meeting Events 110551 110551 102301 110551 110551 102301 102301 8250 Pt VI, Line 11b A copy of the Form 990 is submitted to the Finance Committee and then the full EDC Board of Directors during regularly scheduled and noticed public meetings. This is prior to signature and filing the Form 990. Pt VI, Line 12c The Board of Directors and staff sign a conflict of interest when they join. The Board of Directors adopted a policy that requires Board members to sign the conflict of interest every year. The staff maintain it as part of their employment policies. Pt VI, Line 19 The organization makes its governing documents, conflict of interest policy, and financial statements available to the public. Documents are made available to review at noticed public meetings of the Finance Committee, Governance Committee and Board of Director meetings. Documents are also available by request to the EDC office as per Florida State Statue. Pt VI, Line 15a The Executive Committee comprised of independent persons recommends the compensation of the President and CEO. The Board of Directors approved the President and CEO annual contract and compensation. The EDC Board of Directors adopted a President & CEO Annual Bonus & Compensation Review policy. It states that it is priority of the EDC Board of Directors that the President & CEO compensation process is transparent and straightforward. The yearly process for determining compensation of the President & CEO includes a review and approval by independent persons, comparability data from the International Economic Development Councils Salary Survey and comparable organizations Form 990s, and contemporaneous substantiation of the deliberation and decision. The Boards Immediate Past Chair is assigned the duties of running the process as follows: A special meeting of the Executive Committee is set for November. The meeting invitation is sent to all Board members of the current and previous fiscal year. Following the special Executive Committee meeting, the review matrix will be submitted to the President & CEOs employment file and the Past Chair will prepare a memo to serve as a written summary of the evaluation, which will reference various documentation used in the evaluation. The memo will be reviewed and voted on by the Executive Committee at a meeting prior to the December Board of Directors meeting. The process concludes at the December Board of Directors meeting when the Past Chair, on behalf of the attendees at the November meeting, reports to the Board of Directors and a recommendation is made on President and CEO compensation and related contract.
