With regard to its compensation arrangement with CRC Advisors, 85 Fund has voluntarily adopted procedures consistent with establishing a rebuttable presumption that its compensation arrangement with CRC Advisors is reasonable under Treasury Regulation 53.4958-6(c), including by retaining a national consulting firm with expertise in compensation analysis, receiving approval from its independent board of directors, and regular reviews from national accounting and legal firms.
