Form 990, Part VI, Section A, line 4 During the fiscal year ended June 30, 2024, the Organization made certain amendments to its bylaws, including removing specific purpose language and, instead, referring to the preexisting purpose language in the Organization's Articles of Incorporation. Additionally, the Organization clarified and modified the general powers of the Board of Directors to, among other things, require Member approval in order to create subsidiary foundations and to dissolve the Organization. The amended bylaws also update the composition and election of Board members to no more than 25 Elected Directors approved by the Organization's Members and to generally limit each Elected Director's service to three consecutive three-year terms. The amended bylaws also clarify the role of Emeritus Directors, which are non-voting members of the Board of Directors. The amended bylaws also require that all Directors commit to support financially and actively serve the Organization, and that regular absences from board or committee meetings will result in the automatic removal from the Board, subject to override by the Organization's Executive Committee. The amended bylaws further extend Officer terms from two to three years or until a successor is duly elected, with no Officer serving more than two successive terms. The amended bylaws further clarify that a majority of the authorized number of Elected Directors and voting Ex Officio Directors constitute a quorum and modify various officer titles and descriptions. The Organization also removed its conflict of interest policy from its bylaws and adopted a separate policy with substantially the same terms by separate Board resolution. The Foundation's Members include the Bishop of the Diocese of Orlando (or the Diocesan Administrator, in the case of a vacant See); the Vicar General of the Diocese or other appointee of the Bishop; the Chancellor/COO; the Chair of the Foundation's Board of Directors; and the Treasurer of the Foundation's Board of Directors.
