There is an Esperanza Easement Endowment Fund and its income, if any, is used to offset expenses incurred to monitor and maintain the easement. Expenses incurred to maintain the easement are included in program restoration expenses. The easement is not carried as an asset on Tucson Audubon Societys financial statements. Endowment funds intended uses (Part V, line 4) The endowment is restricted to specific purposes: Library, education, easement restoration/upkeep and the Paton Center for Hummingbirds. Members or stockholder classes and rights Part VI line 6 The Tucson Audubon Society is comprised of members whose sole requirement for membership is to pay annual dues in accordance with the Organizations bylaws. Members may only nominate candidates to be elected to the Board, but may not vote to elect board members. Form 990 governing body review Part VI line 11 Once the 990 has been prepared, it is reviewed by the Finance Committee and then forwarded to the full Board for review and approval. Conflict of interest policy compliance Part VI line 12c Each person who is deemed to have substantial influence over Tucson Audubon Society shall sign an annual disclosure statement which affirms that the person has received a copy of the conflict-of-interest policy, has read and understood the policy, and has agreed to comply with the policy, and to disclose any direct or indirect affiliations. All annual disclosure statements shall be submitted to the Secretary of Tucson Audubon Society and filed with the minutes of the first meeting of the Board of Directors following the annual membership meeting. Regarding an employee of the Tucson Audubon Society, the Executive Director shall determine whether a conflict of interest exists. With regard to the Executive Director or person with substantial influence over the Organization, the Board shall determine if a conflict of interest exists. After an affiliation disclosure by a director at a board meeting, the director shall leave the meeting while the implications of the affiliation are considered and voted upon. The remaining board members shall determine if a conflict of interest exists. With regard to an employee, the Executive Director shall determine the appropriate response by the Organization once the conflict of interest has been determined to exist. An employee may appeal any adverse determination to the Board. With regard to the Executive Director or person with substantial influence over the Organization, the Board shall follow procedures set forth in Article V of the conflict-of-interest policy in order to decide whether or not to enter into the transaction and, if so, to ensure the terms of the transaction are reasonable. In the case of a director, if it is determined that a conflict of interest exists, the director shall leave the meeting while the transaction is discussed and shall not vote on it. The remaining directors shall follow the procedures set forth in Article V of the conflict-of-interest policy in order to decide whether or not to enter into the transaction and, if so, to ensure the terms of the transaction are reasonable. Deliberations and decisions are recorded in the board minutes. The Organization has been using their services to ensure that they are keeping in line with fair wage practices. The Board approves the Executive Directors compensation after review and discussion. Governing documents etc available to public Part VI line 19 Information regarding the governing documents, conflict-of-interest policy and financial statements are available upon request from the Executive Director or a board member.
