The Charles Richardson Memorial Fund (the "Memorial Fund") is a supporting PART IV, SECTION D, LINE 2 & 3 CONT'D organization described in IRC Section 501(c)(3). It is a trust and was established under the terms of the last Will and Testament of Mattie Richardson as a perpetual trust. She died on January 12, 1938. The Will requires that the Memorial Fund is created for the exclusive benefit of the Childrens Hospital of Los Angeles. All of the net income shall be paid out to the Hospital each year to be PART IV, SECTION D, LINE 2 & 3 CONT'D used for charitable purposes prescribed or permitted by the Articles and/or By Laws, for the benefit of the children in the hospital. The trust is in perpetuity and distribution of the assets is not anticipated.The Northern Trust Company, a bank, is the sole successor trustee of the Memorial Fund. The sole purpose of the Memorial Fund is to support the Childrens Hospital of Los Angeles. PART IV, SECTION D, LINE 2 & 3 CONT'D Representatives of the trustee and an officer of the hospital have annual conference calls during which they discuss the trustees investment performance and policies. The officer of the hospital is given the opportunity to ask questions regarding the investments and distributions. The terms of the distributions are determined by the trust document. Northern Trust provides the officer of the hospital PART IV, SECTION D, LINE 2 & 3 CONT'D with monthly investment statements and the information required under Treasury Regulation Section 1.509(a)-4(i)(2). PART V The Charles Richardson Memorial Fund (the Memorial Fund) fulfills the integral part test of Treasury Regulation Section 1.509(a)-4(i)(5)(i)(B), which provides that certain old supporting organizations that meet the requirements of Treasury Regulation Section 1.509(a)-4(i)(9), are not required to meet either the distribution requirement or the attentiveness requirement. The PART V, CONT'D Memorial Fund was created in 1938 and has been dedicated to making distributions of all of its net income to the Childrens Hospital of Los Angeles, a charitable organization described under 509(a)(1) in perpetuity. PART V, CONT'D For this reason, the Memorial Fund meets the five requirements of Treasury Regulation Section 1.509(a)-4(i)(9): PART V, CONT'D 1. The Memorial Fund is wholly charitable and benefits only a qualified charity and would have qualified for an estate tax charitable deduction. PART V, CONT'D 2.The Memorial Fund was created and irrevocable in 1938, prior to November 20, 1970. PART V, CONT'D 3. The Memorial Fund must distribute all net income to the Childrens Hospital of Los Angeles annually. PART V, CONT'D 4.The trustee does not have discretion to choose another supported charity. The amounts distributed to the charity are fixed and not subject to fiduciary discretion. PART V, CONT'D 5.
