We are working with a new implementing partner. Part VI, Line 8a The organizations Board of Directors met regularly to discuss various points of business strategy and to make resolutions. Each meeting was documented by the Secretary of the Board of Directors or in his absence another designated officer signed and filed. Part VI, Line 11b The form was prepared in detail by President Nadezhda Tkachenko and reviewed in detail by Board Treasurer R. Frederick Hodder and was subsequently shared with the remaining members of the BoD for review before filing. Part VI, Line 12c According to the Bylaws and the conflict of interest policy officers and directors were encouraged to make a statement about any possible conflicts of interest when and if applicable. However the company was not in the position to hire a staff member on a permanent contract basis or to recruit an outside contractor with the necessary knowledge and history of the organization and its mission. It was concluded that N. Tkachenko had the necessary skills and knowledge. A generous donor made a gift of $10,000 specifically aimed at compensating N. Tkachenko for her fundraising activities in the Fall of 2023 in order for the company to sustain its activities in Ukraine. To Board agreed and it was also concluded that N.Tkachenko shall continue her roles as the President on an unpaid voluntary basis.
