During the course of 2023, the Board of the Fire Foundation made grant commitments to 10 schools within the Archdiocese of Denver totaling $328,671. This represents a 247% increase in support over last year. Such commitments were partially paid in 2023 and the remainder of these obligations will be paid during the first half of 2024. Ongoing fundraising efforts in 2023 have provided the Board of the Fire Foundation with additional resources to make new grant commitments to qualifying schools for the 2024/2025 school year during the first four months of 2024. This will allow Catholic schools practicing inclusive education of children with disabilities with much needed resources to expand and enhance their respective educational programs. 23652 20000 0 The Fire Foundation was able to continue providing grant funding of $20,000 in 2023 to the Office of Catholic Schools of the Archdiocese of Denver in order to partially fund the salary for an important position relating to the mission of Fire, the Director of Student Support Services. This position oversees and assists schools in educating children with significant special needs throughout the Archdiocese of Denver. The Grant Committee of the Board evaluates the various grant applications, including interviews with representatives of the various schools and then makes a formal recommendation to the Board of Directors as to which schools should receive grants. With Board approval, grants are awarded in March of each year. Grant payments are partially funded in August with additional payments made in January and April of the following year. Each organization receiving a grant is required to provide mid-year and end-of-year reporting to the Grant committee to ensure they are meeting and honoring the requirements of the grant. In addition, Ex-Officio Board member Abriana Chilelli, who is a non-voting member of the Board, is the sister of JD Flynn and works for the Archdiocese of Denver in the Office of Catholic Schools. Form 990, Part VI, Section A, Line 8b The current operating committees of the Board of Directors are the following - the Executive Committee, the Marketing and Public Relations Committee, the Grants Committee, the Development Committee, the Friends of Fire Committee and the Events Committee. Presently, the entire Board of Directors serve as the Finance Committee. While all Board meetings are documented timely through contemporaneous minutes of the meetings, the Committees of the Board are documented primarily by the agendas outlining the various issues to be addressed at the respective meetings. It is important to note that only the Grant committee has limited approval authority to take actions on behalf of the organization without full Board approval, subject to obtaining approval from the President and Treasurer. Beginning in 2024, the various Committee meetings will also include contemporaneous minutes of what occurred, most notably when the matters discussed by the respective committee will require a recommendation for action to the entire Board of Directors for consideration. Form 990, Part VI, Section B, Line 11b After the Executive committee of the Board of Directors reviews a preliminary draft of the Form 990, a final draft version of the document is provided to the full Board of Directors. At the regularly scheduled Board meeting held on March 5, 2024, the Treasurer of the organization reviewed the document highlighting important areas of the Form 990, including Part VI - Governance, Management and Disclosure. The Treasurer addressed any questions or comments the members of the Board had. Thereafter, any final changes were made and incorporated into the final return before filing the document electronically. Form 990, Part VI, Section B, Line 12c The Fire Foundation of Denver (FIRE) maintains a policy manual containing guidelines and policies for its Business and Governance practices. Included in this manual is a "Conflict of interests policy" which addresses the persons concerned, key areas where conflicts may arise, the nature of the conflicting interest, interpretation of the policy, disclosure procedures and annual submission requirements. Board members and the Executive Director must annually disclose interests that could arise to a conflict and abstain from voting on matters where a conflict exists or is perceived to exist. In addition, each member of the Board and its sub-committees, Officers and Executive Director must annually complete and submit to the Treasurer both a Conflict-of-interest disclosure statement and Gift disclosure form by March 15th. Form 990, Part VI, Section B, Line 15 The Executive Committee of the Board is tasked with responsibility of monitoring and overseeing the performance of the Executive Director (ED) and in completing an evaluation of that employee. Additionally, the Executive Committee serves as the compensation committee of the Board and, in doing so, is given the responsibility to ensure that the ED's executive compensation is fair, reasonable and not excessive. In doing so, the Executive Committee performs a review of other similar-sized peer organizations in the Denver metro area and also reviews various local, regional and national compensation and benefit surveys for additional insight.
