A Texas resident who is a member in good standing with the National ACLU organization is thereby a member of ACLU of Texas. Subject to rules established by the National ACLU, a member who has left the state of Texas but wishes to retain membership in ACLU of Texas may do so. Form 990, Part VI, Section A, line 7a Members elect the local Board of Directors annually for staggered, three-year terms with one third of the positions to be filled each year. Up to twenty-four Directors are elected by the membership and up to six may be elected by the Board of Directors. All members of the Board of Directors are elected at-large. Directors elected by the members are elected by mail ballot pursuant to such rules as the Board of Directors may adopt. At its next meeting following the election, the Board of Directors canvasses the results of the election and, if necessary to provide an adequate level of diversity, may elect to the board up to six additional Directors as soon as practicable after each election cycle. The returns are then shared with the full Board for review prior to filing with the IRS. In addition to signing the disclosure statement, the Board also inquires whether any conflicts exist before voting on any matter involving the organization's assets. The Personnel Committee makes a compensation recommendation to the Board based on an annual salary survey of 53 ACLU affiliates plus a survey of Executive Director salaries of similar organizations in similar locations. The Board then discusses the recommended compensation, deliberates and votes on approval. Compensation for all other employees is determined internally by the Executive Director and the Human Resources Director after a review of comparable Texas organizations and 53 ACLU affiliates nationwide. The Development Director and Senior Staff Attorney are employed and compensated by the ACLU Foundation of Texas.
