tax on any unrelated business income. The Foundation is the sole owner of Cliburn Media, LLC (Cliburn Media), The Cliburn Agency, LLC (Cliburn Agency), and VCF Production Investors L.P. (Investors), which are disregarded entities for federal tax purposes. Therefore, financial activities of Cliburn Media, Cliburn Agency, and Investors are included in the consolidated federal exempt organization return of the Foundation. The Cliburn accrued tax expense of $15,647 on unrelated business income during the year ended June 30, 2023, which is included in administrative and other expenses. The Internal Revenue Service has determined the Foundation is not a "private foundation" within the meaning of Section 509(a) of the Internal Revenue Code. The Cliburn follows the provisions of FASB ASC 740, Income Taxes, which requires financial statement recognition and disclosure for uncertain tax positions taken or expected to be taken in a tax return. Management considers the likelihood of changes by taxing authorities to its filed exempt organization returns and recognizes a liability for, or disclosed potential significant changes that are more likely than not to occur upon examination by tax authorities, including changes to the Cliburn's tax-exempt status. Management believes the Cliburn met the requirements to maintain its tax-exempt status and has not identified any uncertain tax positions that would require recognition or disclosure in the accompanying financial statements. With few exceptions, the Cliburn's federal exempt organization returns for the past three years are subject to examination by tax authorities and may change upon examination.
