Most of the staff working for the Alliance are compensated by those Member Organizations. Grants are given to those organization to support the organizations' personnel costs. Use of funds is monitored through receiving financial reports and ongoing monitoring of the growth of the organizations by Alliance regional directors, including visits and ongoing communications. It is the policy that the spouse must also have a bona fide business purpose for attending the meeting. Pt VI, Line 6 The Wycliffe Global Alliance is a community in which the relationship of organizations within the Alliance is established by a Covenant/Statement of Commitment which expresses both the essential and practical elements of those relationships and the shared purpose of the Alliance. The Covenant is drawn up for each Alliance Organization based on the content established by the Alliance's Board of Directors and the Board maintains control over the content of document and approval of the organizations. Participation in voting for Board members is described in 7a. Also see response 7b.Membership does not include participation in assets of the organization upon dissolution. Pt VI, Line 7a The founding organization, Wycliffe USA, has one position on the Board of Directors. The remaining Board members are recommended by the Nominating Committee based on a set of criteria listed under "Composition of the Board." The Board appoints members from those persons recommended by the Nominating Committee. The alliance Organizations in a covenantal relationship with the Alliance have one vote per organization. The Board is approved, endorsed, and affirmed with receipt of 50% of Alliance Organizations voting in agreement. Pt VI, Line 7b All By-Laws changes require ratification by two-thirds of the Alliance Organizations voting in favor of the amendment. Pt VI, Line 11b Before filing, form 990 is reviewed by the Controller, Treasurer, Audit Committee, and the Board of Directors. Pt VI, Line 12c The conflict of Interest Policy requires board members, Officers, and Key Employees to sign a statement stating that they have no conflict of interest, or disclose them if they do. Due to the nature of the Board members, who are chosen for their expertise in the field, not for business or contacts, no conflict of interest has ever arisen. If it were to arise, the individual would be required to excuse him or herself from decisions related to the event, and the Board Committee on Finance would monitor the transaction. A potential or actual conflict would be reviewed and dealt with by the Board Chair, Executive Director, or Director of Operations.
