In addition, JewishColumbus exercises a substantial degree of direction over the policies, programs and activities of the supported organizations, including, but not limited to, approval of budgets, strategic planning, marketing and resource allocation. The officers and trustees of JewishColumbus maintain a close and continuous working relationship with officers and trustees of the supported organizations. The Chair of the Federation and the President of the Foundation, and one additional appointee of each, serve on the Board of JewishColumbus and there is some additional overlap of officers and/or trustees of these organizations. This results in the officers and trustees of the Federation and the Foundation having a significant voice in the investment policies of JewishColumbus, in the making and timing of grants and in otherwise directing the use of the income or assets of JewishColumbus. Part IV, Section E, Line 3A JewishColumbus is the parent of the supported organizations, Jewish Federation of Columbus and Columbus Jewish Foundation, because it elects a majority of the members of the governing bodies of each supported organization. The governing boards of the supported organizations, Jewish Federation of Columbus and Columbus Jewish Foundation, have each approved amended and restated codes of regulations (bylaws under Ohio law) for their respective organizations that provide that, at all times, JewishColumbus shall appoint a majority of the governing body of each of the Federation and the Foundation, respectively. The members of the governing bodies of the Federation and the Foundation who are appointed by JewishColumbus can only be removed by JewishColumbus, and the provisions providing for this control by JewishColumbus cannot be modified without the approval of JewishColumbus. The revised federal Form 990 is then distributed to the Finance Committee for final review. The full board is provided with a copy of federal Form 990 prior to filing with the IRS. Form 990, Part VI, Section B, line 12c In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the trustees and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The conflict of interest policy is provided to all board members at the beginning of each fiscal year. Each officer, trustee and member of a committee with board delegated powers shall annually sign a statement which affirms such person: A. Has received a copy of the conflict of interest policy, B. Has read and understands the policy, C. Has agreed to comply with the policy, and D. Understands the foundation is charitable and in order to maintain its federal tax exemption must engage primarily in activities which accomplish its tax-exempt purposes. If the Board or Committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the Board or Committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate corrective action. The Finance Committee reviews salary levels of agency executives with comparable endowment programs through the use of federal Forms 990 and published nonprofit salary guides.
