<ExplanationTxt>HSHS and the Foundation are Illinois not-for-profit organizations as described in Section 501(c) (3) of the Internal Revenue Code (the Code) and are exempt from federal income taxes on related income pursuant to Section 501(a) of the Code. Kiara, Inc. is an Illinois for-profit corporation that recognizes income taxes under the asset-and-liability method. Deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the consolidated financial statement carrying amounts of existing assets and liabilities and their respective tax basis and operating loss and tax credit carryforwards. Deferred tax assets and liabilities are measured using the enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. The net operating loss carryforwards result in a deferred tax asset of $3,382 and $3,548 at June 30, 2023 and 2022, respectively. In assessing the realizability of deferred tax assets, management considers whether it is more likely than not that some portion or all the deferred tax assets will not be realized. The ultimate realization of deferred tax assets is dependent upon the generation of future taxable income during the periods in which those temporary differences become deductible. Management considers projected future taxable income and tax planning strategies in making this assessment. Based upon the level of historical taxable losses and projections for future taxable losses over the periods for which the deferred tax assets are deductible, management believes it is more likely Kiara, Inc. will not realize most of the benefits of these deductible differences. Full valuation allowances have been applied against the deferred tax assets attributable to the net operating loss carryforwards not realized as of June 30, 2023 and 2022 in the accompanying consolidated financial statements due to the uncertainty of realization. HSHS recognizes the tax benefit from an uncertain tax position only if it is more likely than not the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. As of June 30, 2023 and 2022, HSHS does not have any liabilities for unrecognized tax benefits.</ExplanationTxt>

<ExplanationTxt>Facility , 1 - HSHS St. Joseph's Hospital, Chippewa Falls. Hospital Sisters Health System and HSHS St. Joseph's Hospital are committed to promoting and defending human dignity, caring for persons living in poverty and other vulnerable persons, promoting the common good, and stewarding resources wisely. Consequently, we strongly believe the assessment process must be informed by input from the poor and vulnerable populations we seek to serve. During FY2021, HSHS St. Joseph's Hospital conducted the CHNA for Eau Claire County (WI) in conjunction with HSHS Sacred Heart Hospital, Marshfield Clinic Health System, Mayo Clinic Health System, Eau Claire City-County Health Department, Chippewa County Department of Public Health, United Way of the Greater Chippewa Valley, and Chippewa Health Improvement Partnership (a local health coalition). The CHNA partners in turn worked together to gather input from a broad array of sources, ranging from hospital systems and educational institutions to government and service agencies to community groups, as well as from area residents. These efforts included, but were not limited to, outreach to and through the Aging and Disability Resource Center, The Community Table, Eau Claire Area Hmong Mutual Assistance Association, Chippewa County Jail, El Centro, Feed My People Food Bank, and Joining Our Neighbors Advancing Hope (JONAH), as well as churches, schools, municipalities, and other organizations. All of these organizations serve under-resourced individuals in our community - such as low-income seniors, children living in poverty, families who struggle with shelter and food insecurity, justice-involved individuals, and other vulnerable populations - and possess extensive knowledge regarding the needs of those they serve. Actively including these organizations in the CHNA process was critical to ensure consideration of diverse needs in both the assessment itself and the development of related implementation strategies. The FY2021 CHNA process involved several key components. These included a Community Health Survey (distributed via SurveyMonkey and paper copies), online Community Conversations with area residents and stakeholders, and a virtual discussion with members of Chippewa Health Improvement Partnership. The feedback collected through these means, in combination with secondary data comparisons of local and national health indicators, were used to identify community health needs and priorities. The hospital subsequently used this data to develop a community health implementation plan incorporating health improvement strategies. The health priorities identified in the CHNA report were formally approved by the HSHS St. Joseph's Hospital Board of Directors on May 20, 2021.</ExplanationTxt>

<ExplanationTxt>Facility , 1 - HSHS St. Joseph's Hospital, Chippewa Falls. As detailed in the FY22 CHNA Report, HSHS St. Joseph's Hospital, in collaboration with Chippewa Health Improvement Partnership and other community partners, identified several health priorities for Chippewa County. These included: * Mental Health * Alcohol Misuse * Chronic Disease Prevention and Management * Drug Use * Obesity. Due to close collaboration with HSHS Sacred Heart Hospital and the Eau Claire Health Alliance (formerly known as Eau Claire Healthy Communities) in Eau Claire County (which is contiguous to Chippewa County), as well as overlapping service areas and resources and the interrelationship between these issues, HSHS St. Joseph's Hospital further refined the focus of its efforts to: * Mental Health * Alcohol Misuse * Chronic Disease Prevention and Management * Drug Use * Healthy Nutrition/Obesity. MENTAL HEALTH HSHS St. Joseph's Hospital in Chippewa Falls (SJCF) has engaged in multiple efforts to improve the mental health and emotional wellbeing of residents of the area that the hospital serves. The SJCF Community Health Implementation Plan includes several evidence-based strategies and other actions to positively impact mental health. These strategies will benefit both those we serve as patients and the community at large. Strategy 1: Work with community partners to increase access to prevention and early intervention services. Action 1: Train and partner with facilitators to provide suicide prevention, behavioral health "first aid, trauma/resiliency training to school staff, students, and the general public. FY2023 Outcomes During FY23, HSHS St. Joseph's Hospital coordinated Mental Health First Aid - Adult training and used Rural Communities Opioid Response Program (RCORP) grant dollars to pay for training for 13 local professionals and community members to become certified instructors. This instructor training resulted in the training of 18 local health care and other professionals in the MHFA - Adult curriculum through three separate events. The Community Health Outreach Specialist also received certification as a Mental Health First Aid - Adult instructor during the fiscal year. During this timeframe, the Community Health Outreach Specialist also continued to lead the Education and Awareness Team for Mental Health Matters, a collaborative effort in Chippewa and Eau Claire counties to improve youth mental health. The team worked with a local producer to finalize a 30-minute video called Shaping Destiny to aid orientation efforts for youth-serving professionals as well as to educate parents and other community members about adverse childhood experiences and resiliency. SHEC also provided funding to help meet unbudgeted expenses related to video updates. In addition, the Community Health Outreach Specialist coordinated the Chippewa Health Improvement Partnership's Mental Health Action Team and participated in the Chippewa Valley Suicide Prevention Workgroup, both of which incorporated these trainings into their planning efforts. Finally, HSHS St. Joseph's Hospital provided in-kind printing and planning support for a collaborative effort to promote resiliency in Chippewa County through a series of two events called "Chippewa Strong." This series was developed due to a number of local tragedies involving children. Approximately 100 people attended the first event in January, which featured a widow from 9/11 discussing individual and community healing from that tragedy, as well as table discussions following the presentation, while an estimated 120 people attended the second event in May, which provided opportunities to learn and practice a wide range of activities that support resiliency (acupressure, equine therapy, art therapy, etc.). The Community Health Outreach Specialist provided staffing support for both of these events. Action 2: Work with community partners to ensure early identification of pregnant and postpartum moms with behavioral health needs. FY2023 Outcomes The Community Health Outreach Specialist facilitated quarterly meetings of the Substance-free Pregnancy and Recovery Coalition (SPaRC) for Chippewa and Eau Claire counties. The coalition involves a broad range of state and local government agencies, health care partners, and service organizations and seeks to stop the intergenerational impacts of substance use by identifying the behavioral health needs of pregnant and postpartum women and connecting them with available resources. Additionally, SJC served as a site for sister hospital HSHS Sacred Heart Hospital's Maternity onto Motherhood (MOM) Program during pregnancy and after birth to help connect families with needed resources, including mental health and substance use services. Patients may refer themselves or be referred by prenatal providers to the program, which is available to families at no cost regardless of where they choose to deliver. Strategy 2: Work with internal and external partners to improve access to care and services. Action 1: Open inpatient psychiatric beds for adolescents. FY2023 Outcomes SJCF continues to explore opportunities to expand its capacity to provide local inpatient psychiatric care. The State of Wisconsin has earmarked $15 million to development of a specialized 18-bed adolescent psychiatric unit at the hospital, as well as creation of additional adult beds at HSHS Sacred Heart Hospital (increasing capacity from 29 to 33) in Eau Claire. Due to substantial increases in construction costs, as well as current financial constraints, this project remains on hold at this time. Action 2: Continue to partner with Prevea Health to provide/expand school-based mental health services. FY2023 Outcomes SJCF worked through its Foundation and outpatient behavioral health partner, Prevea Health, to provide school-based mental health services in the Chippewa Valley. During FY23, 96 sessions were provided to local students through this program. Action 3: Provide grief support to Chippewa Valley residents through The Healing Place. FY2023 Outcomes The Community Health Outreach Specialist worked to resume grief support services through The Healing Place (an outreach of sister hospital HSHS Sacred Heart Hospital) on a limited basis during FY2023. These services consisted primarily of offering a bi-monthly Suicide Loss Support Group, receiving calls and e-mails for grief support, and making referrals to local resources. The Suicide Loss Support Group resumed in September after in-person meetings were allowed again (based on COVID-19 circumstances). During the fiscal year, 23 different people attended at least of the 19 group meetings (total attendance during that timeframe was 108). The Community Health Outreach Specialist fielded calls and e-mails weekly from individuals seeking grief support for themselves or others and provided resource information. During the course of the fiscal year, she responded to approximately 90 inquiries. Action 4: Streamline behavioral health service access for pregnant and postpartum moms. FY2023 Outcomes As noted previously, SJCF served as a site for sister hospital HSHS Sacred Heart Hospital's Maternity onto Motherhood (MOM) Program during pregnancy and after birth to help connect families with needed resources, including mental health and substance use services. Patients may refer themselves or be referred by prenatal providers to the program, which is available to families at no cost regardless of where they choose to deliver. The Community Health Outreach Specialist also facilitated quarterly meetings of the Substance-free Pregnancy and Recovery Coalition (SPaRC) for Chippewa and Eau Claire counties. The coalition involves a broad range of state and local government agencies, health care partners, and service organizations and seeks to stop the intergenerational impacts of substance use by identifying the behavioral health needs of pregnant and postpartum women and connecting them with available resources. Strategy 3: Work with community partners to address other social determinants of health (SDOH), including economic stability. Action 1: Provide funding and other support to homeless resources to help promote housing and economic stability, as well as facilitate access to health care services. FY2023 Outcomes In an effort to support health care access for individuals experiencing economic instability, SJCF provided in-kind printing and laboratory services support to the Open Door Clinic, which provides free health care services, including mental health services, to uninsured and underinsured Chippewa Valley residents.</ExplanationTxt>

SHEC also provided funding to help meet unbudgeted expenses related to video updates. Action 3: Work with the Chippewa Health Improvement Partnership (CHIP) Voices in Prevention Action Team to provide community education. FY2023 Outcomes The CHIP Voices in Prevention Action Team engaged in planning around a #NoJoke campaign geared toward young adults to challenge cultural acceptance of alcohol misuse by exploring the consequences of this behavior. In addition, the team provided "Small Talks" messaging at various tabling events to encourage parents to talk with their kids about the dangers of underage alcohol use. The Community Health Outreach Specialist coordinated meetings and tabling events for all facets of CHIP, including the Voices in Prevention Action team. The team tabled at the YMCA Healthy Kids Day and Northern Wisconsin State Fair during this reporting period. Action 4: Work with community partners to ensure early identification of pregnant and postpartum moms with behavioral health needs. FY2023 Outcomes The Community Health Outreach Specialist facilitated quarterly meetings of the Substance-free Pregnancy and Recovery Coalition (SPaRC) for Chippewa and Eau Claire counties. Strategy 2: Work with internal and external partners to improve access to care and services. Action 1: Ensure consistent use of Screening, Brief Intervention, and Referral to Treatment (SBIRT) by providers. FY2023 Outcomes Due to capacity concerns, no concrete steps were taken around this action during the fiscal year. This topic will be revisited during FY2024. Action 2: Streamline behavioral health service access for pregnant and postpartum moms. FY2023 Outcomes As referenced earlier, SJCF served as a site for sister hospital HSHS Sacred Heart Hospital's Maternity onto Motherhood (MOM) Program during pregnancy and after birth to help connect families with needed resources, including mental health and substance use services. The coalition involves a broad range of state and local government agencies, health care partners, and service organizations and seeks to stop the intergenerational impacts of substance use by identifying the behavioral health needs of pregnant and postpartum women and connecting them with available resources. Action 3: Continue partnership with Prevea to provide/expand school-based mental health services. FY2023 Outcomes SJCF worked through its Foundation and outpatient behavioral health partner, Prevea Health, to provide school-based mental health services in Chippewa County. During FY23, 96 sessions were provided to local students through this program. Strategy 3: Work with community partners to address other social determinants of health (SDOH), including economic stability. Action 1: Provide funding and other support to homeless resources (e.g., HOPE Village) to help promote housing and economic stability, as well as facilitate access to health care services. FY2023 Outcomes In an effort to support health care access for individuals experiencing economic instability, SJCF provided in-kind printing and laboratory services support to the Open Door Clinic, which provides free health care services, including mental health services, to uninsured and underinsured Chippewa Valley residents. Action 2: Work with the Chippewa Health Improvement Partnership (CHIP) Voices in Prevention Action Team to provide alcohol-free events, activities, and opportunities throughout the county. FY2023 Outcomes Although the CHIP Voices in Prevention Action Team engaged in planning for a #NoJoke campaign around alcohol misuse during the fiscal year, team focused most of its efforts over that time period on youth vaping. Activities related to alcohol misuse will be explored further in FY2024. CHRONIC DISEASE PREVENTION AND MANAGEMENT Strategies and actions related to Chronic Disease Prevention and Management for patients and other community members are detailed below. Strategy 1: Work with community partners to increase access to prevention and early intervention services. Action 1: Provide health education, screenings, and referrals to care. FY2023 Outcomes The Community Health Outreach Specialist coordinated all meetings and tabling events for the Chippewa Health Improvement Partnership, including the Chronic Disease Prevention Action Team. This team pursued several strategies to educate the public around prediabetes. For example, the team encouraged adults to take the Prediabetes Risk Test at the Northern Wisconsin State Fair by providing small incentives and provided prediabetes risk test flyers to participants in the Chippewa Winter Challenge (physical activity) initiative. SJCF provided in-kind printing of prediabetes risk test flyers. Action 2: Work with providers to ensure regular screenings and patient education. FY2023 Outcomes Prioritization of other strategies/actions and time constraints prevented work in this area during the fiscal year. Action 3: Work with local Farmers Markets to supplement the purchase power of FoodShare recipients to buy fresh produce. FY2023 Outcomes SJCF continued to coordinate the Chippewa Health Improvement Partnership during the reporting year, including the Chronic Disease Prevention Action Team. That team successfully launched a new Chippewa Falls Farmers Market (Monday Market at the Y) that allows FoodShare participants to use their electronic benefits transfer (EBT) card to make purchases, as the other market in Chippewa Falls was unable to do so. In addition to starting the new Monday Market in June 2023, the team secured funding for a "Market Match" program that provided FoodShare (Supplemental Nutrition Assistance Program) participants with up to $10/week in additional tokens to purchase eligible foods. Strategy 2: Work with internal and external stakeholders to improve access to care. Action 1: Evaluate services available internally and within the community to address service gaps. FY2023 Outcomes Prioritization of other strategies/actions and time constraints prevented work in this area during the fiscal year.</ExplanationTxt>

FY2023 Outcomes SJCF provided ongoing support to the Open Door Clinic through the fiscal year by helping to provide laboratory services, as well as providing printing services at no charge to the clinic. In addition, the hospital contracts for the clinic's coordinator and provides her supervision. Strategy 3: Work with internal and external stakeholders to engage in unified planning and policy. Action 1: Work with state and local leaders to factor health implications into policy and budget decisions. FY2023 Outcomes This strategy/action was not addressed during FY2023 due to time constraints and the prioritization of other Community Health Improvement Plan strategies and actions. DRUG USE Strategies and actions related to Drug Use for patients and other community members are detailed below. Strategy 2: Work with community partners to address other social determinants of health, including economic stability. Action 1: Provide funding and other support to homeless resources (e.g., HOPE Village) to help promote housing and economic stability, as well as facilitate access to health care services. FY2023 Outcomes In an effort to support health care access for individuals experiencing economic instability, SJCF provided in-kind printing and laboratory services support to the Open Door Clinic, which provides free health care services to uninsured and underinsured Chippewa Valley residents. Strategy 3: Work with internal and external stakeholders to engage in unified planning and policy. Action 1: Work with state and local leaders to factor food security and healthy weight implications into policy and budget decisions. FY2023 Outcomes This strategy/action was not addressed during FY2023 due to time constraints and the prioritization of other Community Health Improvement Plan strategies and actions. NOTE: These strategies and actions address each of the top health priorities identified through the CHNA process. In addition, the interconnectedness of various health issues, as recognized by participants in that process, is expected to produce additional benefits in other health areas examined (including but not limited to Physical Activity, Injury and Violence Prevention, and Healthy Growth and Development).</ExplanationTxt>

<ExplanationTxt>The Hospital continually strives to provide excellent patient care in the most cost effective fashion. Nonetheless, the Medicare program, in many cases, does not provide payment that covers the full cost of the care provided. Since it is the mission of the hospital to respond to community need, hospital leadership continually advocates for improved Medicare payment so that the cost of quality care to those patients who are not able to afford it is not compromised and is fairly subsidized by all payers. The IRS does not classify this shortfall in Medicare payments as Community Benefit. However, we believe it is an important contribution made by the hospital to the health and well-being of the community. If the Medicare program did not exist, many Medicare patients would be eligible for financial assistance or other means-tested government programs. Further, by absorbing this shortfall and providing care below cost to these individuals, the Hospital is relieving the burden of the government. Accordingly, this shortfall restricts the Hospital's ability to make funds available to provide for financial assistance and other Community Benefit. The hospital's Medicare shortfall at cost for fiscal year 2023 was $5.97M.</ExplanationTxt>

<ExplanationTxt>very effort is made prior to, during and after provision of medical services to determine whether a patient is eligible for charity/community care and to assist the patient in completing the application and provide adequate documentation. If the patient qualified for charity/community care for the full balance of their account, the entire amount is written off to charity/community care and hence no debt collection is pursued. If the patient qualified for charity/community care for a portion of their account balance, that portion is written off to charity/community care, with the patient being responsible for the remainder of the balance. Additionally, reasonable effort will be made to obtain third-party or government payer reimbursement on behalf of the patient. If those efforts are not fruitful, an offer will be extended to the patient to make installment payments on their balance. Only at such point that the patient defaults on installment payments or refuses to cooperate with the hospital's efforts to be reimbursed will the account be sent to collections. The hospital will make reasonable efforts to determine whether a patient is eligible under the financial assistance policy before it engages in an ECA. To the extent a patient is determined to be eligible for financial assistance under the FAP, the hospital will take all reasonably available measures to reverse any ECA taken against the patient to obtain payment for the care.</ExplanationTxt>

SJCF uses Press Ganey Patient Experience Solutions to garner feedback to understand patient preferences and develop improvement plans. SJCF also utilizes face to face opportunities with patients to gauge community perception through regular leader rounding. Quarterly, SJCF engages in discussions about community health needs through the hospital's board of directors and advisory council. Membership consists of community members who represent varying sectors of the Chippewa valley including non-profit agencies, schools and businesses. SJCF has a strong Volunteer Partners program whose members are a valuable source of feedback from the community to the hospital and back. SJCF leadership and Community Health staff participates in community groups and coalitions that address the needs of the underserved and minority populations. <ExplanationTxt>For purposes of the CHNA, the community served by HSHS St. Joseph's Hospital is defined as Chippewa County, Wisconsin, a partially urban county located in the west-central part of the state. HSHS St. Joseph's Hospital does not exclude MUAs, low income, or minority populations from its service area. As of 2019, the U.S. Census Bureau estimated the county population at 64,658, with more than 20% of residents living within the boundaries of the county seat, the City of Chippewa Falls. Per the County Health Rankings, 46% of residents live in a rural area. Slightly more residents are male (52%) versus female (48%). The median age is 41, and life expectancy is approximately 80. In regard to race, nearly 95% of Chippewa County residents report being White alone; nearly 2% identify as Black or African American alone; 1.5% as Asian alone; less than 1% as American Indian and Alaska Native alone or Native Hawaiian and Other Pacific Islander alone; and more than 1% as two or more races. Nearly 2% of residents report Hispanic ethnicity. The county is also home to a small Amish population. Median household income within the county is $59,742, with nearly 9% of the population estimated to live in poverty. Meanwhile 12% of children fall within the poverty threshold (source: County Health Rankings). Major industries include health care, manufacturing, retail trade, production agriculture, and seasonal tourism. As of June 2021, 12,186 Chippewa County residents were covered by BadgerCare Plus or another Medicaid program. Per the 2021 County Health Rankings, 6% of the county's population is uninsured. Of the 72 counties in Wisconsin, Chippewa County ranks 16th in overall health outcomes and 24th in overall health factors. Chippewa County has been designated a medically underserved area (MUA) for primary care. In addition to HSHS St. Joseph's Hospital, Mayo Clinic Health System (Bloomer) and Aspirus Health (Stanley) provide hospital services to Chippewa County.</ExplanationTxt>

<ExplanationTxt>As a healing ministry of the Catholic Church and an affiliate of Hospital Sisters Health System (HSHS), HSHS St. Joseph's Hospital is committed to delivering high quality, compassionate, and cost-effective health care services to all. Founded in 1885 the hospital brings a healing presence and improves the health of our community, especially those persons who are sick, poor, and disadvantaged. Because of the hospital's mission and heritage, the hospital is dedicated to promoting the health of Chippewa County and surrounding areas. The hospital is governed by a Board of Directors, most of who reside in the hospital's primary service area and are neither employees nor independent contractors of the hospital (nor family members thereof). The Board ensures that St. Joseph's Hospital is responding to community need. The Board ensures that HSHS St. Joseph's Hospital is responding to community need. The Board ensures that HSHS St. Joseph's Hospital is responding to community need. A written or oral report of Community Benefit activities is provided on a regular basis at Board meetings. There are also other bodies that assist St. Joseph's Hospital's connection with the community, such as the hospital Patient and Family Advisory Council, The Foundation of HSHS St. Joseph's Hospital, and Volunteer Partners. Consistent with its exempt purpose, HSHS St. Joseph's Hospital has an open medical staff with privileges available to all qualified physicians in the area. The hospital also operates an Emergency Department that is open 24 hours to all persons regardless of their ability to pay. As a not-for-profit hospital, HSHS St. Joseph's Hospital reinvests surplus funds to support the mission of the organization and promote the health of the community rather than distributing surplus funds as profits to shareholders or individuals. Funds not committed to ongoing operations are generally used to upgrade facilities, secure new technologies, improve patient care, and support initiatives designed to promote health and ensure access for all. For example, SJCF continues to partner with Prevea Health, a multi-specialty health care organization based in Green Bay, Wisconsin that has been a part of the Western Wisconsin region since 2015. Prevea Health works extensively with SJCF and sister hospital HSHS Sacred Heart Hospital in Eau Claire. HSHS St. Joseph's Hospital provides a range of Community Benefit initiatives and programs that further our mission and long-standing commitment to our community. In many cases, these Community Benefits would not exist without the leadership role played by HSHS St. Joseph's Hospital and they often relieve a burden that would otherwise be carried by government. HSHS St. Joseph's Hospital also devotes significant resources to access for patients who cannot afford care, along with other Community Benefits. In FY2023, HSHS St. Joseph's Hospital provided $8,626,159 in Community Benefit, including financial assistance at cost, unpaid costs of Medicaid and other public programs, and a range of diverse programs designed to enhance access and improve community health.</ExplanationTxt>

<FormAndLineReferenceDesc>Schedule H, Part VI, Line 6 Affiliated health care system</FormAndLineReferenceDesc>
<ExplanationTxt>Headquartered in Springfield, Illinois, Hospital Sisters Health System (HSHS) is a highly integrated, multi-institutional health care system comprised of 15 hospitals and more than 200 physician practice sites in Illinois and Wisconsin. HSHS is sponsored by Hospital Sisters Ministries (HSM), which is a public juridic person of the Roman Catholic Church. HSHS continues the health care ministries begun by its founders, the Hospital Sisters of St. Francis, more than 140 years ago, in rural and midsized communities throughout Illinois and Wisconsin. HSHS provides compassionate, holistic, high quality, and cost-effective health care through its acute care hospitals, physician practices, home health programs, palliative and hospice programs, and community outreach services. In addition, HSHS affiliated hospitals include critical access facilities that offer essential health services that otherwise would not be available in many communities. Our mission calls us to reveal and embody Christ's healing love for all people, and we extend our high quality Franciscan health care ministry beyond the walls of our hospitals by providing community health improvement services with special emphasis on the poor and vulnerable. In addition to providing community health improvement services to the broader community, HSHS cares for everyone who comes to its facilities, regardless of their ability to pay. In tandem with a variety of cross sector community partners, HSHS's Community Benefit initiatives are strategically planned and professionally implemented to improve access to health care services; enhance the health of the community; advance medical or general health care knowledge; and relieve or reduce the burden of government to improve health. The COVID-19 pandemic caused an unprecedented disruption in healthcare services across the United States. HSHS responded with services that benefited our communities, including free telehealth screenings, free testing, and coordination with other healthcare providers in the communities we serve to best ensure access to needed care. In FY2023, HSHS collectively provided $222.3 million in Community Benefit (8.2% of total hospital expenses). Of the total Community Benefit provided, HSHS spent $5.8 million provided for Financial Assistance (aka Charity Care) and $146.3 million for unreimbursed care provided as part of the Medicaid program. In addition, HSHS hospitals committed significant resources to treat Medicare patients. The cost of providing services to primarily elderly beneficiaries of the Medicare program - in excess of governmental and managed care contract payments - was $304.5 million. HSHS hospitals also recorded $74.3 million in uncollectible accounts. While HSHS does not count the latter two amounts as Community Benefit, they nonetheless reflect our commitment to serving all persons in need of care. In addition to the dollars invested in our Community Benefit programs, HSHS continues to reinvest any surplus revenue from operations and investments into new medical technology, facility infrastructure and health care services in our communities. By doing so, we ensure our ability to meet the ongoing demand for high quality, efficient and easily accessible health care.</ExplanationTxt>

<ExplanationTxt>THE ORGANIZATION IS SUBJECT TO THE CORPORATE COMPLIANCE PROGRAM AND CONFLICT OF INTEREST POLICY ("POLICY") OF HOSPITAL SISTERS HEALTH SYSTEM, AN ILLINOIS NOT FOR PROFIT CORPORATION EXEMPT FROM FEDERAL TAXATION UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. A REVISED CORPORATE COMPLIANCE PROGRAM AND CONFLICT OF INTEREST POLICY HAVE BEEN IMPLEMENTED SINCE JANUARY 2009 TO MANAGE CONFLICTS OF INTEREST USING A SYSTEM-WIDE PROTOCOL FOR DISCLOSURE STATEMENTS. IN ACCORDANCE WITH THE ORGANIZATON'S CONFLICT OF INTEREST POLICY, ALL COVERED PERSONS HAVE A DUTY TO COMPLY WITH THE CONFLICT OF INTEREST POLICY FOR ANY CONTRACT, TRANSACTION, RELATIONSHIP, OR ACTIVITY CONTEMPLATED, ENTERED INTO, OR CONDUCTED AT HSHS OR ITS AFFILIATES. THE POLICY DEFINES COVERED PERSONS AS BOARD MEMBERS, BOARD COMMITTEE MEMBERS, OFFICERS, BOARD DESIGNEES, SENIOR MANAGEMENT, MEMBERS OF ANY COMMITTEE THAT OVERSEES THE APPROVAL OF PHARMACEUTICALS AND MEDICAL DEVICES, AND ANY OTHER INDIVIDUAL WHO HOLDS A POSITION OF TRUST. ON AN ANNUAL BASIS, HSHS DISCLOSES A COPY OF THE CONFLICT OF INTEREST POLICY (AND ALL CORRESPONDING PROCEDURES, GUIDELINES, FORMS AND TOOLS) TO ALL COVERED PERSONS, AND ADVISES ALL COVERED PERSONS IN WRITING OF ANY SUBSTANTIVE CHANGES TO THIS POLICY AND SUCH RELATED MATERIALS. COVERED PERSONS ARE REQUIRED TO REVIEW AND COMPLETE THE CORRESPONDING CONFLICT OF INTEREST STATEMENT. THE SYSTEM OFFICE VICE PRESIDENT - SYSTEM RESPONSIBILITY, VICE PRESIDENT - RISK & COMPLIANCE OR MEMBERS OF THE AUDIT AND INTEGRITY COMMITTEE ("COMMITTEE") ARE AVAILABLE TO ANSWER ANY QUESTIONS A COVERED PERSON MAY HAVE. IN ADDITION, IF AT ANY TIME AFTER SUBMITTING AN ANNUAL CONFLICT OF INTEREST STATEMENT, A COVERED PERSON BECOMES AWARE OF AN INTEREST THAT HE OR SHE WOULD HAVE HAD TO DISCLOSE AT THE ANNUAL INTERVAL, THE COVERED PERSON IS REQUIRED PROMPTLY TO DISCLOSE THE INTEREST TO THE COMMITTEE USING THE HSHS CONFLICT OF INTEREST DISCLOSURE STATEMENT. COMPLETED CONFLICT OF INTEREST STATEMENTS ARE SUBMITTED TO THE COMMITTEE, WHICH IS RESPONSIBLE FOR IDENTIFYING, ASSESSING, AND MANAGING CONFLICTS OF INTEREST THAT ARISE IN THE COURSE OF CONDUCTING THE AFFAIRS OF HSHS AND ITS AFFILIATES. IF THE COMMITTEE DETERMINES THAT A CONFLICT OF INTEREST EXISTS, THE CONFLICT OF INTEREST POLICY REQUIRES HSHS NOT TO ENGAGE IN, OR ENTER INTO, A PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY UNLESS THE COMMITTEE OR, WHERE NECESSARY, THE BOARD OF DIRECTORS (ACTING THROUGH ITS DISINTERESTED MEMBERS), HAS INVESTIGATED ALTERNATIVES TO THE PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY AND, IN THE ABSENCE OF ALTERNATIVES THAT ARE IN THE BEST INTERESTS OF HSHS, HAS DETERMINED: 1. THAT, REGARDLESS OF WHETHER THE COVERED PERSON PARTICIPATES IN THE IMPLEMENTATION OF THE PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY; 2. THE CONTRACT, TRANSACTION, ARRANGEMENT, OR ACTIVITY IS IN THE BEST INTERESTS OF HSHS; 3. THE CONTRACT, TRANSACTION, ARRANGEMENT, OR ACTIVITY IS FAIR AND REASONABLE FROM THE PERSPECTIVE OF HSHS; AND 4. HSHS CANNOT OBTAIN A MORE ADVANTAGEOUS CONTRACT, TRANSACTION, ARRANGEMENT, OR ACTIVITY WITH REASONABLE EFFORTS UNDER THE CIRCUMSTANCES. IN DETERMINING WHETHER A CONTRACT, TRANSACTION OR ARRANGEMENT IS FAIR AND REASONABLE TO HSHS, THE COMMITTEE SHALL CONSIDER, WHERE APPLICABLE: 1. APPRAISALS OR OTHER INDEPENDENT VALUATIONS OF THE FAIR MARKET VALUE OF THE CONTRACT, TRANSACTION, OR ARRANGEMENT; 2. INFORMATION REGARDING COMPARABLE CONTRACTS, TRANSACTIONS, OR ARRANGEMENTS BETWEEN UNRELATED PARTIES; 3. OFFERS FROM COMPARABLE COMPETING ENTITIES; AND/OR 4. STUDIES OF COMPARABLE COMPENSATION ARRANGEMENTS. IN ANY CASE IN WHICH THE COMMITTEE FINDS, AFTER TAKING THE STEPS DESCRIBED ABOVE, THAT HSHS SHOULD PARTICIPATE IN A PROPOSED TRANSACTION OR ARRANGEMENT DESPITE THE EXISTENCE OF A CONFLICT OF INTEREST, THE COMMITTEE SHALL DEVELOP, IMPLEMENT, MONITOR, AND ENFORCE COMPLIANCE WITH, A CONFLICT MANAGEMENT PLAN FOR MANAGING THE CONFLICT OF INTEREST AS IT CONSIDERS NECESSARY FOR SUCH FINDINGS TO REMAIN VALID THROUGHOUT THE LIFE OF THE CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY. ALL CONFLICT MANAGEMENT PLANS SHALL: 1. STATE THAT THE COMMITTEE WILL OVERSEE, MONITOR, AND ENFORCE COMPLIANCE WITH THE PLAN THROUGHOUT THE COURSE OF THE STUDY, AND SPECIFY MEANS FOR DOING SO, INCLUDING, WITHOUT LIMITATION, THAT THE APPROPRIATE INDIVIDUALS MUST PROVIDE THE COMMITTEE WITH WRITTEN REPORTS PERTAINING TO COMPLIANCE WITH THE CONFLICT MANAGEMENT PLAN, THAT THE COMMITTEE SHALL HAVE THE RIGHT TO AUDIT THE STUDY FOR SUCH COMPLIANCE, AND THE RIGHT TO IMPOSE SANCTIONS FOR NON-COMPLIANCE; 2. STATE THAT THE PLAN MUST BE SHARED WITH COVERED PERSON WHOSE INTERESTS IT WAS DEVELOPED TO MANAGE; 3. STATE THAT THE PLAN MUST BE SHARED WITH, AND PERIODIC REPORTS ON COMPLIANCE WITH THE PLAN MUST BE PROVIDED TO, THE BOARD, SENIOR MANAGEMENT, AND/OR GOVERNMENT AGENCIES; AND 4. PROVIDE FOR SUCH OTHER MANAGEMENT STEPS AND MECHANISMS THE COMMITTEE CONSIDERS NECESSARY AND APPROPRIATE. IN ADDITION TO THE COMMITTEE, THE SYSTEM OFFICE VICE PRESIDENTS OF SYSTEM RESPONSIBILITY AND RISK & COMPLIANCE MAY RETAIN SUCH INDEPENDENT ADVISORS OR EXPERTS AS DEEMED NECESSARY TO ASSIST IN MAKING ITS DETERMINATIONS AND DECISIONS. IF THE COMMITTEE DETERMINES THAT THE CONTEMPLATED TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY CANNOT PROCEED DUE TO A CONFLICT OF INTEREST, THE COMMITTEE SHALL INFORM THE APPLICABLE COVERED PERSON OR DECISION-MAKING BODY OF SUCH DETERMINATION WITHIN ONE WEEK OF THE COMMITTEE MEETING AT WHICH THE CONTEMPLATED TRANSACTION WAS DISCUSSED.
