The Secretary also:Assures that an agenda has been prepared by the board president and/or the executive director and that the agenda is distributed in advance of the meetingOversees the distribution of background information for agenda items to be discussedPrepares the official minutes of the meeting and records motions, discussions, votes, and decisionsPrepares and provides the previous meetings written minutes to board members before the next meeting and records any changes or correctionsAssures that documents (bylaws, Form-990, roster of board members) are accessible to membersSchedules and notifies board members of upcoming meetingsHolds members accountable for their tasks Form 990, Part VI, Section B, Line 11b The Form 990 is shared with the entire board of directors as an e-file available for review three days before the filing in an electronic board file management system.
