The Foundation provides financial support to Vitalant directly, for the purpose of supporting the charitable and other tax-exempt activities of the communities previously served by the Inland Northwest Blood Center (INBC) and now conducted by Vitalant. In addition, the Foundation provides financial support indirectly through supporting other nonprofit, charitable undertakings related to health care consistent with the shared charitable missions of Vitalant and the Foundation. In 2022, this included two grants in support of health care education. Part IV, Section D, Line 3: The Board of the Foundation includes two voting members that Vitalant appoints. One of the directors shall be Vitalant's leader with oversight for the Historic INBC Communities, the other may be, but is not required to be, a member of Vitalant's Board of Trustees. Due to this close and continuous working relationship, the officers and trustees of the supported organization have the ability to influence the Foundation's decisions regarding the use of its income and assets. Part V, Section D, Line 8: To satisfy the responsiveness test under Section 1.509(a)-4(i)(4) of the Regulations, the Foundation's Board of Directors shall continue to include, as an ex officio voting director, Vitalant's leader with oversight responsibilities for the Historic INBC Communities ("Vitalant North Leader"). In addition, the Foundation's Board of Directors shall include, as a voting director, one other individual who is appointed by Vitalant's Board of Trustees. The Foundation and Vitalant shall cooperate with each other regarding the timing and amount of the Foundation's grants to and for the benefit of Vitalant, consistent with the terms of the Restricted Fund Agreement. The Foundation and Vitalant affirm that it is their expectation that such support shall be a significant enough part of Vitalant's total support for Vitalant's North Operating Division to ensure that Vitalant shall be attentive to the Foundation's operations. Upon request, Vitalant shall assist the Foundation in calculating the annual amount required to be granted to Vitalant. Decisions or actions of the Executive Committee are subject to review by the full board and may be approved or disapproved by a majority vote in most situations. Minutes of all Executive Committee meetings are provided to all Trustees. Form 990, Part VI, Section B, line 11b The Form 990 is prepared by an outside accounting firm based on information provided by the finance team. A copy of the draft 990 and schedules are supplied to all board members. Any comments from the board are considered prior to filing the Form 990 with the IRS. Form 990, Part VI, Section B, line 12c Directors, Trustees, and the Executive Director are required to annually review and sign off on the conflict of interest policy. They also completed a form describing any situations that could result in a conflict of interest. The Board Chair reviews all the conflict of interest statements. A copy of the signed form is retained in the board records, an interested person may make a presentation at the board meeting but he/she must leave the meeting during the discussion of, and the vote on, the potential transaction. The Board Chair may, if appropriate, appoint a Disinterested Person to investigate alternatives to the proposed transaction. The Organization documented their compensation process and approval in their board minutes. The Executive Director is an employee of a related entity and is compensated by them. The Blood Center Foundation reimburses the related entity for this compensation. For this reason the compensation for the Executive Director is reported as officer compensation for The Blood Center Foundation.
