Part VI, Line 19 NBGI Foundation will provide any governing documents, conflict of interest policy, and financial statements upon any emailed or written request. Part VI, Line 1a Board of Directors. The Foundations affairs shall be directed by a Board of Directors (hereinafter the Board), which shall be composed of persons serving four-year terms. A person can serve multiple terms, but he or she shall have at least a one-year interruption between terms. Those serving in even-numbered roles (immediately below) shall serve an inaugural 2-year term to stagger terms for continuity of leadership. Ex-officio, non-voting members, are not bound by terms. Board members shall be recruited by the NBGI Director, Management Board Chair, and Regional Association Representatives (defined by 1 through 5 below) from the Management Board. The individual candidates shall be confirmed through a majority vote during the Management Board meeting held at the Association of Fish and Wildlife Agencies Annual Meeting. The Board shall be comprised of the following members, corresponding to organizations and interests as named herein: Voting Members 1. NBGI Management Board Chair The standing state wildlife agency Director Chair of the Management Board shall serve as Chair of the Foundation. 2. Midwest Association of Fish and Wildlife Agencies (MAFWA) A state wildlife agency Director representing MAFWA. 3. Northeast Association of Fish and Wildlife Agencies (NEAFWA) - A state wildlife agency Director representing (NEAFWA). 4. Southeastern Association of Fish and Wildlife Agencies (SEAFWA) A state wildlife agency Director representing SEAFWA. 5. Western Association of Fish and Wildlife Agencies (WAFWA) - A state wildlife agency Director representing WAFWA. 6-9. Experienced conservation non-profit or foundation leaders, outdoor or agricultural industry leaders, or exemplary individuals with a demonstrated commitment to natural resource conservation. Ex-officio Members 10. Federal Agency A senior official or executive of a federal agency with a natural resource conservation mission. 11. NBGI Director The standing or acting Director of the NBGI. 12. Chief Executive Officer A contract employee of the Foundation.
