Form 990, Part VI, Section B, Line 12 Key executives and members of the Board sign a conflict of interest statement annually. Each director is required to notify the the Board Chair and the CEO of any potential conflict of interest. All such matters shall be brought to the attention of the Finance Committee of the Board for review to determine whether a conflict exists, and is material and in the presence of an existing material conflict, whether the contemplated transaction may be judged as just, fair and reasonable. The individual involved with any potential conflict is to abstain from voting on issues that may be in question. The decision of the Board of Directors on these matters shall be in accordance with all applicable policies and procedures of the Organization. Form 990, Part VI, Section B, Line 15 The CEO is evaluated during the Spring board meeting by a task force that includes the chair, vice-chair and one other board member selected by the CEO. This group recommends to the full board the compensation of the CEO using comparability data from independent surveys. The board chair then notifies the Vice President over Human Resources of the compensation package. Authorization to determine compensation for other officers and key employees is delegated to the CEO.
