Form 990, Part III, Line 4a: The single most important achievement the Adventist Health Foundation (AHF) has accomplished since the Camp Fire and its adoption of the original Strategic Plan has been to forge partnerships, collaborations, and connections with other local and regional public, private, and non-profit organizations that significantly increased our philanthropic capacity and impact, and greatly enhanced community awareness and recognition of AHF and its mission. During this three-year period (2020-2022, AHF accomplished the following: Health & Well Being Blueprint & Implementation Plan As the primary funder and sponsor, established a collaborative, community-driven initiative to develop a Butte County health and well-being blueprint and implementation plan that is scheduled to be completed in June 2023. This facilitated effort is now known as the Healthy Communities Collaborative and is overseen by a steering committee with broad stakeholder and community representation. Blue Zones is providing expert consultation throughout the process. $150,000 from the North Valley Community Foundation's (NVCF) Butte County Healthy Communities/Blue Zones Project Fund was approved by the AHF Board for this initiative. Adventist Health Community Planning Committee This last year, Adventist Health formed the Community Planning Committee which includes the Town of Paradise, AHF, and other important community stakeholders to develop a phased plan to both restore and enhance the level of health care, including emergency care, in Paradise. This is an ongoing process with the intention to keep the community informed of its progress in a timely manner. Donations & Grants Received Received $18,579 in donations and $874,729 in grants for specific, restricted purposes (i.e. Funding from NVCF and Paradise Rotary for AHF World Vision Project Hope Program; Funding from Health Net for Telehealth support of Adventist Health Clear Lake; Funding for Healthy Communities Blueprint/Plan/Blue Zones Project Fund established at NVCF; California Health & Wellness funding for point of care support; Funding from Leighton Memorial for EMS/emergency services). COVID Rapid Response & Relief Starting in 2020, provided $177,917 to 28 North State organizations as part of our joint COVID Rapid Response & Relief partnership with the NVCF to address pandemic-related food insecurity, lack of PPE supplies and equipment for health providers, businesses & non-profit service providers, distance learning support for working parents and students, needed support of non-profits dealing with domestic violence victims, PSA's for Butte, Tehama & Glenn County Departments, etc. Health & Wellness Support Distributed $324,917 in grants and contributions for healthcare support (i.e. AHF contributed $15,229 or 50% split with NVCF for the purchase of Paradise Clinic's back-up generator; granted $17,500 or 50% split with NVCF towards purchase of COVID-19 testing machines from Abbot Labs for Paradise, Chico & Corning clinics; provided $21,000 with NVCF funding the balance of $49,000 towards subsidized discount rent to re-establish an EMS ambulance station in Paradise; contributed $189,647 in grant funds for Cancer Center expansion, equipment, patient transportation, patient support & art classes & Cancer Garden); $24,543 for Rapid Care expansion of hours at the Paradise Clinic; provided $29,483 grant funding to support mobile imaging services; and contributed $27,515 grant funding to support the dental program at the Paradise & Corning clinics); Granted $49,185 through the Adventist Health Associate Assistance Program to 28 employees. Long Term Recovery Support Contributed $226,231 to assist with Paradise's recovery from the Camp Fire, which included providing $120,536 towards Adventist Health's feasibility study to evaluate the restoration & enhancement of health and well-being services and programs in Paradise, including emergency care; $50,000 to the Seventh Day Adventist/Maranatha Shed Project for Camp Fire victims; $25,000 granted to the Town of Paradise towards their Long-Term Recovery Plan Update; $10,000 granted for the Hope Plaza Project; $10,695 granted for the Paradise Stronger to expand health & well-being for fire survivors; $10,000 to Paradise Arts Theatre & Culture Hub (PATCH) to create a master plan for an arts, theatre, and cultural center in Paradise. Food Insecurity In addition to our COVID Rapid Response funding (identified previously) to help alleviate food insecurity during the pandemic, our Foundation also contributed $105,250 to address the ongoing food insecurity problem in Paradise and Butte County. $5,000 was provided to Love Delivers for their grocery assistance program (which was also funded by the NVCF & Paradise Rotary); $20,000 was granted to a partnership between the Paradise Clinic & Love Delivers to provide grocery assistance and delivery service to clinic patients with food insecurity issues; $10,000 was awarded to Catalyst to provide food boxes for their individual and family residents/survivors of domestic violence; $25,000 was granted to the CAA's North State Food Bank to assist with their multi-county food distribution program and the rental of a food storage container: $45,250 total has been granted to the Butte County Local Food Network for their youth garden & grow program and their neighborhood garden blitz project. Community Outreach & Support During this three-year period, AHF awarded grants amounting to $9,675 on a 50% basis with Adventist Health or entirely on our own to five different community organizations including the Boys & Girls Club of the North Valley, Paradise Little League, Paradise Ridge Chamber of Commerce "Party in the Park," Paradise Recreation & Parks District & Northern California Ballet. Form 990, Part VI, Section A, line 4 The Foundation's Articles of Incorporation were amended in 2022 for the following: 1. To revise its primary purpose to promote human health and well-being physically, mentally and spiritually, in a manner consistent with the philosophy of Adventist Health System/West, a California nonprofit religious corporation. The purposes include the following activities: (a) to engage in the solicitation, receipt, and administration of property and funds, and from time to time to disburse such property, funds, and the income therefrom in a manner consistent with donor restrictions solely to, or for the benefit of, Adventist Health and its affiliate nonprofit organizations, and to support the various health and well-being activities of Adventist Health and its affiliates; and (b) to engage in and conduct charitable, educational, scientific and community activities in furtherance of Adventist Health's primary purpose. 2. To change the amendment process for the Articles of Incorporation to require vote of two-thirds of the directors, provided that such action must also be approved by the directors of Adventist Health. 3. To remove the member Western Health Resources. 4. To indicate that the qualification, number, manner of selection, resignation and removal, and rights of the Foundation's directors shall be provided in the Foundation's Bylaws. 5. To revise the dissolution process: all remaining assets shall be distributed for use in furtherance of the Foundation's primary purposes to Adventist Health or its successor(s), provided that each successor is a nonprofit fund, foundation or corporation that is organized and operated exclusively for charitable purposes and has established tax-exempt status. As of the date of the 2022 Form 990 filing for the Foundation, the amendments to the Bylaws were pending approval. Disclosures for Form 990, Part VI, Lines 6, 7a, and 7b will be updated in the 2023 Form 990 when the Bylaws are formally approved and adopted. Form 990, Part VI, Section A, line 6 The Foundation is organized as a not-for-profit organization. The sole corporate member is Western Health Resources, a California not-for-profit religious corporation. Form 990, Part VI, Section A, line 7a The sole member, Western Health Resources, elects the Foundation's Board of Directors. The authorized number of directors also includes ex-officio members according to each Foundation's Bylaws. Form 990, Part VI, Section A, line 7b The sole corporate member, Western Health Resources, must approve all changes to the Articles of Incorporation and Bylaws. Form 990, Part VI, Section A, line 8b The Foundation did not have any committees with authority to act on behalf of the governing body during the tax year. Form 990, Part VI, Section B, line 12c During the first quarter of each year, the annual conflict of interest questionnaire is sent to board members, corporate officers, key employees, and department directors for completion and signature. The questionnaire is accompanied by a letter of explanation to illustrate examples of a conflict and remind the recipient that if any perceived conflict should arise before the next annual questionnaire, he/she is to notify the President immediately. The statements for the Adventist Health System/West Board of Directors are reviewed by the EY auditors as part of the annual financial statement audit. All conflicts are reviewed by the System General Counsel. For potential conflicts, the System General Counsel will determine and present all relevant facts to the governing body for decision. After addressing any questions asked by the governing body, the person with a declared conflict must leave the meeting during the discussion of the matter that involves a conflict and during any vote on the matter.
