Form 990, Part VI, Section B, line 11b The Organization's executives and officers coordinate with an independent accounting firm to prepare and review the Form 990 and required supplemental disclosures. A copy of the Form 990 tax return is then distributed to the full Board of Trustees for review prior to the return being filed. Form 990, Part VI, Section B, line 12c All Board members and executive staff are required to disclose any potential conflicts of interest annually. The Deputy Director is diligent in reviewing the annual disclosure forms submitted by covered persons, and in compiling and maintaining a list of potentially conflicted entities and individuals to be used as a means of identifying potential conflicts. Any conflict of interest and/or discussion thereof is documented in organizational board minutes, including documentation of when a board member discloses a conflict, and/or when a board member abstains from voting or other involvement in a matter, due to any real or perceived conflicts of interest. For all other staff, the Executive Director, with support of the Deputy Director, determines compensation based on job level, qualifications, and comparability data. The Board of Directors reviews and approves the annual organizational budget on an annual basis, which includes salaries for the Executive Director and all other staff, including salary changes, and estimated salaries for any anticipated hires for the upcoming fiscal year. There are no contemporaneous notes or review/approval by independent consultants.
