Part VI, Section B, Line 1 The Board appoints committees who carry out prescribed functions for the Association or for the Board's mission. Committees may make recommendations to the Board regarding operation or financial aspects of the Association. The Board considers the recommendations from the Committees but the Board has the final authority to make the decision on the recommendation. The Executive Committee is composed of Board officers and the Executive Director and makes day-to-day operational decisions that affect the Association. Like other Committees the Executive Committee can make recommendations to the full Board on larger matters of significant impact. The Board is still the final authority to approve any significant financial or operational Association changes. Part VI, Line 2 Two of the members of the board of governors are father and son. Two members of the board of governors are husband and wife. Part VI, Line 11b The Form 990 is provided to and reviewed by the members of the Executive Committee and the Budget and Finance Committee. Both Committees are provided a copy of the return before filing and they make a recommendation to the full board to accept the tax return. Part VI, Line 12c The Conflict of Interest Policy is distributed received and signed by each board member at the first board meeting after the annual membership meeting where board members are elected. Any conflicts are discussed and resolved at the regular board meeting or when identified by a board member. Part VI, Line 15 The Executive Committee considers industry data. The executive director is evaluated by a committee of the board annually. Part VI, Line 19 Governing documents organizational policies and financial statements are available upon request.
