The majority of Trustees appointed by the Kinkaid School must give their affirmative vote to all investment policies and grant decisions in order for such decisions to be validly authorized. Form 990, Schedule A, Part IV, Section E, line 1c: Per the Trust document, The Foundation operates for the exclusive benefit of the University of Oklahoma, a governmental entity. The Foundation supports the University by granting funds for scholarship programs for worthy students. Form 990, Schedule A, Part V, Section D, Line 8: All of the Foundation's distributions were made to the Kinkaid School and the University of Oklahoma. The majority of the Foundation's distributions, in excess of one-third of its total distributable amount, were made to the Kinkaid School. The Foundation and the Kinkaid School meet the responsiveness and attentiveness tests as described below. Attentiveness: Based on all facts and circumstances, the Kinkaid School has had actual attentiveness of the Foundation's role in its operations. Since the Foundation's inception in 1994, at least three members of the Foundation's Board of Trustees have been appointed by the Kinkaid School, and the majority of the Trustees so appointed must give their affirmative vote to all investment policies and grant decisions in order for such decisions to be validly authorized. Responsiveness: The Kinkaid School appoints three members of the Foundation's Board of Trustees. Because of this close relationship, the Kinkaid School has a significant voice in how the Foundation manages and uses its assets.
