Form 990, Part VI, Section A, Line 7a The governing body (Officers and Directors) are elected by the membership via an annual election. Officer terms are 1 year. Director terms are 3 years. Form 990, Part VI, Section A, Line 7b The authority of the Board of Directors (Officers and Directors) is outlined in the organization constitution and by-laws. Per these documents, certain decisions require membership approval. Form 990, Part VI, Section A, Line 8b Various authority/responsibility is delegated to the Program Committees. Minutes of committee meetings are not documented; however committee reports are reported to the BOD at the BOD meetings for documentation in the BOD meeting minutes. Form 990, Part VI, Section B, Line 11b This form 990 was prepared by the volunteer Treasurer. Upon completion, the form, all attachments, balance sheet, and Profit/Loss statement are sent via email to all the Officers and Directors for review with a short suspense period. Comments received during the review period are addressed prior to filing the form. Form 990, Part VI, Section C, Line 19 Governing documents for SMSA consist of the corporate charter, corporate by-laws, and an operational handbook. All documents are available for inspection by the membership and public. No requests for these documents have been received from non-members, but all requests would be considered on a case by case basis. There is no conflict of interest policy in the governing documents. Financials are maintained in Quickbooks Online, from which reports are generated for officers, directors and the program chairpersons on a a regular basis pursuant to the requirements of the organization by-laws. Having researched the proper reporting of the dissolution the net gain of $29,859.63 was moved from Form 990 Part VIII Line 3 Column C, Unrelated Business Revenue, to Part VIII lines 7a-d Column B, Related Revenue, resulting in an overpayment of $6,060.60.
